*ST貴人(603555.SH)：信批違規 公司及相關人員收到證監會福建監管局警示函
格隆匯 10 月 22日丨*ST貴人(603555.SH)公佈,公司於2020年10月22日收到中國證券監督管理委員會福建監管局《關於對貴人鳥股份有限公司、林天福、林思恩採取出具警示函措施的決定》(【2020】40號)，現將內容公告如下：
“貴人鳥股份有限公司、林天福、林思恩：
經查，我局發現貴人鳥股份有限公司(以下簡稱貴人鳥或公司)存在如下問題：2019年1月至9月，貴人鳥與關聯人林思亮發生關聯交易，其中4,000萬元為貴人鳥向林思亮提供借款，形成關聯方非經營性資金佔用，佔貴人鳥2018年末經審計淨資產的2.61%。林思亮於2019年9月歸還所佔用資金，於2020年4月支付資金佔用利息87.75萬元。
對於上述關聯方非經營性資金佔用事項，貴人鳥未履行關聯交易審批程序和信息披露義務，違反了《上市公司信息披露管理辦法》(證監會令第40號)第二條第一款、第四十八條；《關於規範上市公司與關聯方資金往來及上市公司對外擔保若干問題的通知》(證監會公告〔2017〕16號)第一條第二款的規定。林天福作為貴人鳥實際控制人及董事長、林思恩作為貴人鳥時任財務總監，為上述違規行為的主要責任人。
根據《上市公司信息披露管理辦法》第五十八條第一款、第五十九條的規定，我局決定對你們釆取出具警示函的監管措施，並記入證券期貨市場誠信檔案數據庫。現警示貴人鳥：一是嚴格遵守法律法規的規定，採取切實有效措施防範股東及其關聯方佔用或者轉移公司的資金、資產及其他資源，並督促相關人員加強相關證券法律法規學習；二是加強信息披露管理，真實、準確、完整、及時地披露信息，切實提高信息披露質量；三是根據公司規定開展內部問責，督促有關人員加強有關證券法律法規的學習，切實履行勤勉盡責義務。警示林天福、林思恩：加強法律法規規章的學習，認真履行法定職責，切實履行信息披露義務。
公司及公司管理層高度重視上述《警示函》所提出的問題，並將嚴格按照福建監管局的要求進行整改。同時，公司及相關人員將加強相關證券法律法規學習，嚴格遵守相關規定，強化規範運作意識，依法履行信息披露義務，從而有效提高公司治理水平。
