*ST恆康(002219.SZ)：華寶信託向法院提出了對京福華採強制清算申請
格隆匯 10 月 9日丨*ST恆康(002219.SZ)公佈，公司於2020年10月9日收到台州市椒江區人民法院(“椒江區法院”)送達的書面通知書及相關材料，獲悉華寶信託有限責任公司(“華寶信託”)向椒江區法院提出了對京福華採(台州)資產管理中心(有限合夥)(“京福華採”)強制清算申請。
公司於2020年5月6日收到京福華採執行事務合夥人京福資產管理有限公司(“京福資產”)發出的《關於京福華採(台州)資產管理中心(有限合夥)的管理人報告》的書面通知，因京福華採產業併購基金投資退出期已屆滿，鑑於清算期京福華採資產未能變現，基金管理人無法開展實質性清算工作。
申請人華寶信託於2020年9月28日向椒江區法院提出對京福華採的強制清算申請，椒江區法院決定對本案不召開聽證會，而採用書面方式進行審查。如有異議，應在收到本通知之日起七日內以書面形式向椒江區法院提出。
公司將在法定期限內與各合夥人就本次清算事宜進一步商議並儘快形成解決方案。
根據合夥協議約定，京福華採清算可能對公司產生如下影響或風險：1、京福華採的經營虧損由有限合夥財產彌補，在有限合夥出現虧損時公司作為劣後級有限合夥人排在第一順位按實繳出資額承擔虧損。
2、京福華採清算時，如優先級有限合夥人和中間級有限合夥人累計獲得分配的金額不足京福華採清算時優先級有限合夥人和中間級有限合夥人的全部最高參考收益及實繳出資額之和時，公司或者指定的第三方應收購優先級有限合夥人和中間級有限合夥人持有的全部合夥權益。
3、若公司在未履行相關收購義務的情形下，優先級有限合夥人和/或中間級有限合夥人有權向任一第三方轉讓其持有的全部或部分合夥權益。如優先級有限合夥人和/或中間級有限合夥人根據合夥協議約定將其持有的合夥權益全部轉讓給第三方且第三方向優先級有限合夥人和/或中間級有限合夥人支付的收購價款低於合夥協議約定的收購價款金額的，則公司或其指定第三方應對該差額部分予以補足。
4、若公司未按照合夥協議約定向優先級有限合夥人和/或中間級有限合夥人按時足額支付收購價款，應就逾期支付的款項按照每日0.05%的標準向優先級有限合夥人和/或中間級有限合夥人支付違約金。
