金髮科技(600143.SH)知悉買方擬取消重大合同訂單、未及時履行信披義務 收到警示函
格隆匯 9 月 23日丨金髮科技(600143.SH)公佈，公司於2020年9月23日收到中國證券監督管理委員會廣東監管局下發的《關於對金髮科技股份有限公司、袁志敏、寧凱軍採取出示警示函措施的決定》(【2020】130號)，根據相關要求，現將《警示函》披露如下：
“金髮科技股份有限公司、袁志敏、寧凱軍：
經查，金髮科技股份有限公司(以下簡稱金髮科技或公司)存在以下信息披露違規行為：
2020年5月18日，金髮科技發佈《關於子公司簽訂特別重大合同的公告》，披露子公司廣東金髮科技有限公司(以下簡稱廣東金髮)於5月16日收到美國某公司(以下簡稱買方)關於KN95口罩的採購訂單，訂購金額9.75億美元，雙方簽訂了《貨物買賣合同》，在合同期限內，廣東金髮將根據合同約定向買方出售KN95口罩。金髮科技後續披露，買方未按照約定支付採購訂單金額40%的前期款項。核查發現，7月10日至11日，買方向金髮科技發來電子郵件，表示要取消9.75億美元的KN95口罩訂單，後續金髮科技多次嘗試與買方溝通是否繼續履約，但買方一直未予回覆。這一重大合同進展披露不及時、風險揭示不充分。8月10日，金髮科技發佈《關於子公司特別重大合同終止的公告》，披露該合同訂單終止。
金髮科技在知悉買方擬取消重大合同訂單的情況下，未及時履行重大合同進展信息披露義務，未及時充分揭示相關風險，其行為違反了《上市公司信息披露管理辦法》第二條、第三十二條的相關規定。袁志敏作為金髮科技董事長、寧凱軍作為董事會祕書，未按照《上市公司信息披露管理辦法》第三條的規定履行勤勉盡責義務，對公司上述違規行為負有主要責任。
根據《上市公司信息披露管理辦法》第五十九條的規定，我局決定對金髮科技和袁志敏、寧凱軍採取出具警示函的行政監管措施。你們應認真吸取教訓，切實加強對證券法律法規的學習，依法真實、準確、完整、及時、公平地履行信息披露義務。同時，公司應對相應責任人員進行內部問責，於收到本決定書30日內向我局報送整改報告、內部問責情況，並抄報上海證券交易所。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請；也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
