150億元！貴州茅台擬公開發行債券

上交所公司債券項目信息平台昨日（9月16日）顯示，貴州茅台的母公司——中國貴州茅台酒廠（集團）有限責任公司正在申請在上海交易所發行不超過150億元人民幣面向合格投資者的公開發行債券（即“小公募”），目前項目已獲得上交所受理。
這意味着，中國A股市值最高的上市公司——貴州茅台的母公司茅台集團即將首次登陸債券市場。
據債券募集説明書的申報稿披露，本次債券票面金額為100元，按面值平價發行，發行期限不超過7年期（含7年），由五礦證券作為本次債券的主承銷商及受託管理人。
對於償債資金的來源，茅台集團表示將主要來自日常經營所產生的營業收入、利潤和經營活動產生的現金流入。茅台集團近三年及一期經營活動現金流入金額分別為772.01億元、1002.14億元、1163.83億元及545.86億元。
對於此次發行債券的理由，茅台集團在申報稿中表示，擬用於對貴州高速公路集團有限公司（簡稱“貴州高速”）股權收購、償還有息債務、補充流動資金需求等。
貴州高速是貴州省公路行業的龍頭企業，成立以來始終以貴州高速公路建設和運營管理為主，建成貴陽至遵義等四十餘條高速公路，擁有貴州東西南北四條出省大通道。
但根據信息披露，貴州省國資委已將所持有的貴州高速的部分股權轉讓給茅台集團，轉讓價150億元，和此次發行債券規模相同。
按照上交所公司債券項目信息平台披露的內容，這是茅台集團首次發行公司債券。也正因為發行債券要求發行人披露近三年主要財務指標，茅台集團近年的財務數據也首次對外公佈。
數據顯示，茅台集團2017年、2018年、2019年、2020年上半年的營業收入分別為662.5億元、869.7億元、1003.1億元和528.7億元；淨利潤分別為308.6億元、401.8億元、471.9億元和259.3億元。9月17日消息，上交所公司債券項目信息平台昨日顯示，貴州茅台的母公司——中國貴州茅台酒廠（集團）有限責任公司正在申請在上海交易所發行不超過150億元人民幣面向合格投資者的公開發行債券（即“小公募”），目前項目已獲得上交所受理。
