西藏城投(600773.SH)：全資子公司涉及仲裁 賽特投資申請解除委託經營管理合同
格隆匯 7 月 31日丨西藏城投(600773.SH)公告，西藏城市發展投資股份有限公司(以下簡稱“公司”或“西藏城投”)全資下屬公司世貿之都近日收到上海國際經濟貿易仲裁委員會寄來的《仲裁申請書》等文書，具體情況如下：
(一)仲裁機構：上海國際經濟貿易仲裁委員會
(二)仲裁當事人：
申請人：賽特(上海)商業投資管理有限公司(以下簡稱“賽特投資”)
被申請人：陝西世貿之都建設開發有限公司
二、仲裁的案件事實與理由
(一)案件事實
2017年7月，世貿之都作為委託人(甲方)與賽特投資(乙方)簽訂了《委託經營管理合同》，委託賽特投資負責由世貿之都開發建設的陝西西鹹新區國際奧特萊斯商業項目(現靜安薈奧萊公園)的商業運營及自營商品的採購。現賽特投資和世茂之都因該委託經營管理合同履行相關事宜產生爭議並提請仲裁解決。
(二)案件理由
賽特投資在其仲裁申請書中稱，世貿之都利用拖延自營商品採購審批流程等方式阻礙此前各方已確定的由賽特投資負責實施的自營商品採購工作；同時，世貿之都與經營物業商管團隊存在勞動關係的便利條件，限制直至剝奪賽特投資經營管理權利，導致無法按照《委託經營管理合同》之約定就經營物業開展經營管理活動。根據《委託經營管理合同》相關條款，“如因甲方或乙方原因提前終止合同的，違約方未按本合同的約定履行其全部義務(包括但不限於足額支付其應付費用、違約金和/或違約利息等)之前，雙方可以不移交經營物業，且違約方應向對方補償人民幣3,000萬元的違約金，並承擔由此發生的員工工資等賠償費用及第三方因此產生的損失”。
(三)仲裁請求
1、裁決解除申請人與被申請人簽訂的《委託經營管理合同》；2、裁決被申請人向申請人支付合同違約金人民幣3,000萬元；3、裁決本案的仲裁費用由被申請人承擔。
三、仲裁裁決情況
本案由上海國際經濟貿易仲裁委員會受理，目前尚未開庭審理。
