中國太保(601601.SH)擬發行GDR的價格區間初步確定為每份17.6-19美元
格隆匯6月12日丨中國太保(601601.SH)公佈，公司擬初始發行不超過102,873,300份全球存託憑證(Global Depository Receipts，GDR)，其中每份GDR代表5股公司A股股票。此外，穩定價格操作人可以通過行使超額配售權，要求公司額外發行不超過1028.73萬份且不超過實際初始發售規模10%的GDR。此次發行的GDR所代表的新增基礎證券為不超過565,803,000股的公司A股股票(包括因行使超額配售權而發行的GDR所代表的公司A股股票)。
此次發行的GDR的價格區間初步確定為每份GDR 17.6美元至19美元。此次發行的GDR的發售期為自2020年6月12日(倫敦時間)至2020年6月16日(倫敦時間)。公司預計此次發行GDR的最終數量和價格將根據國際市場發行情況並通過簿記建檔於2020年6月16日(倫敦時間)左右確定。
假設此次發行的GDR數量達到上限且超額配售權悉數行使，按照初步確定的價格區間測算，公司預計此次發行的募集資金總額為19.916億美元至21.501億美元。此次發行的募集資金總額將根據此次發行GDR的最終數量和價格確定。
此次發行的發行對象為符合境內外相關監管規則的合格投資者。其中，公司於2020年6月2日與Swiss Re Principal Investments Company Asia Pte. Ltd.(“Swiss Re”)簽訂了《基石投資協議》。根據《投資協議》，Swiss Re擬以此次發行的最終價格認購不超過2888.3409萬份公司擬發行的GDR，且原則上受限於三年的禁售期。Swiss Re是Swiss Re Ltd的全資子公司，是瑞士再保險集團成員之一。
此次發行的GDR所代表的新增A股股票上市後，本公司的總股本將變更為不超過9,627,803,000股（包括因行使超額配售權而發行的GDR所代表的本公司A股股票）。
公司本次發行的GDR自上市之日起120日內（以下簡稱“兑回限制期”）不得轉換為A股股票。在兑回限制期屆滿後，合格投資者可以通過跨境轉換機構將GDR與A股股票進行跨境轉換。跨境轉換包括合格投資者通過跨境轉換機制註銷GDR並將對應的A股股票售出以及買入A股股票並生成新的GDR。
