昌興國際(00803.HK)擬出售所持Greater Sino全部股權

格隆匯11月8日丨昌興國際(00803.HK)宣佈,其間接全資附屬公司Prosperity RealEstate擬透過私人招標程序向第三方投資者出售其於目標附屬公司Greater Sino Investments Limited的全部股權。目標附屬公司現時由ProsperityRealEstate全資擁有。Prosperity Real Estate已委任羅馬測量師及物業顧問有限公司("羅馬")管理有關招標程序。

假設Prosperity Real Estate接獲合資格投標人出價,Prosperity Real Estate擬在合約規限下選擇其有意與之完成交易的首選買家。預期合約將於2019年12月中旬前簽署,並將於2020年1月30日前完成,惟須待取得監管批准後方可作實。然而,Prosperity Real Estate全權酌情保留權利,可在不作通知的情況下隨時終止與任何人士進行交易或隨時更改或終止招標程序。

於2019年11月8日,Prosperity Real Estate、Grand Link Finance Limited("授予人")與黃炳均訂立認沽期權協議,據此,授予人無條件向Prosperity Real Estate授出期權,以在並未根據上述招標程序識別任何有意第三方投資者的情況下,要求授予人按相等於2.63億港元的代價收購目標附屬公司。認沽期權協議的象徵式溢價為10美元(78.0港元)。

黃炳均生為授予人的董事,併為公司主要股東。目前,彼與彼之聯繫人持有公司已發行股本約23.05%。

集團目前結欠黃炳均的聯繫人約3.74億港元,其中約2680萬港元將於2020年4月30日到期及須予支付。倘Prosperity Real Estate行使認沽期權,認沽期權代價將由公司透過抵銷相等於集團目前結欠有關債權人之金額(即2.63億港元)支付。因此,結欠有關債權人的款項將減至約1.11億港元。

目標附屬公司(透過其於香港及中國的多間中介公司)間接為一幅位於中國廣東省東莞市鳳崗鎮官井頭村龍平公路北側丹興工業城之地塊(於重建前之總地盤面積約為30,453平方米)及該土地上所建工廠、店舖及住宅樓宇所涉及重建權的主要持有人。該土地及該物業的總建築面積為49,098.03平方米。
