江豐電子(300666.SZ)擬收購SilveracStella100%股權及募集配套資金下週一復牌
格隆匯8月16日丨江豐電子(300666.SZ)公佈，公司擬以發行股份及支付現金的方式購買共創聯盈持有的Silverac Stella100%股權，同時擬採取詢價的方式向不超過5名符合條件的特定投資者非公開發行股份募集配套資金。
此次交易完成後，Silverac Stella成為江豐電子的全資子公司，江豐電子通過Silverac Stella間接持有最終目標公司Soleras Holdco100%股權，並最終持有Soleras BVBA、Soleras US、梭萊江陰三家實體公司100%的股權。此次交易的實質即為通過收購Silverac Stella實現對上述三家實體公司的控制。
截至預案簽署日，江豐電子持有共創聯盈1.25億元出資，為避免江豐電子向共創聯盈發行股份後出現上市公司交叉持股問題，江豐電子擬將持有共創聯盈1.25億元出資轉讓給第三方。
上市公司主營業務為高純濺射靶材的研發、生產和銷售，主要產品為各種高純濺射靶材，包括鋁靶、鈦靶、鉭靶、鎢鈦靶等，公司產品主要應用於半導體(主要為超大規模集成電路領域)、平板顯示器及太陽能電池等領域。本次交易最終目標公司Soleras Holdco的主營業務為磁控濺射鍍膜靶材及鍍膜設備的研發、生產、銷售、升級和維護，磁控濺射鍍膜靶材主要包括鋅錫靶、硅鋁靶、氧化鈦靶、鋰靶等，鍍膜設備主要包括端塊、磁控棒等，產品和服務主要應用於節能玻璃、消費電子視窗防護玻璃、薄膜太陽能電池製造過程中的物理氣相沉積工藝，用於製備薄膜材料。產品最終應用領域主要為建材、汽車、消費類電子產品和可再生能源行業。
上市公司與最終目標公司均為專業的濺射靶材供應商，此外Soleras Holdco還生產銷售磁控濺射鍍膜設備，提供濺射鍍膜生產線中與濺射靶材及磁控濺射設備相關部件的設計、升級及維護服務。通過本次交易，上市公司在原有的產品基礎上豐富了靶材產品類型，優化了產品結構，完善了業務佈局，提高了公司抗風險能力，符合上市公司長遠戰略規劃。
經向深圳證券交易所申請，公司股票將於2019年8月19日開市起復牌。
