越秀地產(00123.HK)附屬擬收購杭州濱德房地產開發50.5%股權

格隆匯9月26日丨越秀地產(00123.HK)公告,於2025年9月26日,買方杭州越瓏房地產開發有限公司(公司的間接非全資附屬公司)與賣方杭州濱江房產集團股份有限公司及項目公司杭州濱德房地產開發有限公司訂立合作協議,據此,在達成先決條件前提下,賣方同意出售,而買方同意購買項目公司的50.5%股權。於完成後,買方及賣方將分別持有項目公司50.5%及49.5%股權,及買方及賣方向項目公司提供的股東貸款比例將分別爲50.5%及49.5%。

買方應付代價總額包括(i)股權轉讓代價人民幣4.04億元;(ii)利息(預計金額爲人民幣1,699,175元);及(iii)股東貸款(預計金額爲人民幣3.94億元)。該金額乃根據總土地出讓金及項目公司資金的50.5%(即買方於完成後於項目公司的股權),連同應付賣方的利息釐定。

項目公司的主要業務爲房地產發展及營運。項目公司由賣方特意爲開發目標地塊而新成立。目標地塊位於中國杭州市餘杭區,總地盤面積爲36,496平方米,將發展作住宅用途。除了開發目標地塊發展作住宅用途出售外,項目公司預期不會參與任何其他業務。

目標地塊位於杭州市餘杭區,周邊商業、教育及交通配套完善,具有優越的地理優勢。賣方是中國杭州一家領先的房地產公司,以其優質和良好的客戶口碑而享有盛譽。董事們認爲,與賣方的合作將提升目標地塊的開發效率及資源配置。
