浙江滬杭甬(00576.HK)發A股吸收合併鎮洋發展 實現AH兩地上市
浙江滬杭甬(00576.HK)公布,建議以發行A股方式換股吸收合併鎮洋發展(603213.SH),實現「A+H」兩地上市。公司A股發行價13.5元人民幣,鎮洋發展換股價14.58元人民幣,基準每持有1股鎮洋發展獲1.08股公司A股。
按人民幣匯率中間價1港元對0.91183元人民幣,發行價較H股上交易日(2日)收報溢價119.01%。本次交易涉及發行2.16億股A股,連同原內資股轉換的A股,共計44.92億股A股將申請於上交所上市流通。
