德視佳(01846.HK)擬斥資逾1.17億港元收購瑞士及英國眼科服務資產
格隆匯9月3日丨德視佳(01846.HK)發佈公告，2025年9月2日，EuroEyes Swiss(作爲買方，爲公司的全資附屬公司)、公司(作爲擔保人)與Betterview Swiss(作爲賣方)訂立瑞士協議，據此Betterview Swiss同意出售瑞士資產，瑞士代價總額爲1201萬瑞士法郎(相當於約1.17億港元)。將予收購的資產包括以下各項的若幹資產：(i)位於蘇黎世、伯恩、盧塞恩、聖加侖、盧加諾、洛桑及日內瓦的七間屈光手術醫療診所；(ii)位於蘇黎世的屈光手術治療手術室；及(iii)根據瑞士協議的若幹總部資產，其將包括相關：(a)商業合約、客戶合約、僱傭合約、租賃合約及過往患者協議(已同意由Betterview Swiss保留者除外)；(b)租賃物業裝修、傢俱及裝置、辦公室設備、醫療機器╱生產設備、工具、電腦硬件及軟件；(c)知識產權；(d)客戶資料；(e)人事檔案、技術、營運及市場推廣記錄、手冊及指南；(f)上文(a)所提述合約項下的責任，惟不包括該等已同意將由Betterview Swiss保留的過往患者協議。
同日，EuroEyes UK(作爲買方，爲公司的全資附屬公司)與Betterview UK(作爲賣方)訂立英國協議，據此Betterview UK同意出售英國資產，英國代價總額爲20萬瑞士法郎(相當於約18.44萬英鎊及194.9萬港元)。將予收購的資產包括：Betterview UK於英國業務中使用的財產、資產及權利(惟不包括若幹業務債務、手頭或銀行現金，以及Betterview UK就英國業務相關稅務可收回的任何款項)，而英國業務爲Betterview UK以“Betterview”或“Betterview Britain”名義經營的眼科服務業務(包括但不限於激光治療及屈光手術)。
