中廣核電力(01816.HK)擬93.8億元收購惠州核電82%股權、惠州第二核電100%股權、惠州第三核電100%股權及湛江核電100%股權
格隆匯8月27日丨中廣核電力(01816.HK)公告，於2025年8月27日，董事會宣佈，董事會已審議並通過公司（作爲買方）與中廣核（作爲賣方）訂立股權轉讓協議的決議案。根據股權轉讓協議，公司同意收購及中廣核同意出售惠州核電82%股權、惠州第二核電100%股權、惠州第三核電100%股權及湛江核電100%股權，總現金對價約爲人民幣93.8億元。待收購事項完成後，目標公司將成爲公司的附屬公司，其財務業績將會合並至集團的財務報表。
惠州核電是一家在中國成立的公司，主要從事核電廠的投資、開發、建設及運營。緊接收購事項完成前，其由中廣核及第三方中國大唐集團核電投資有限公司（一家在中國成立的公司）分別擁有82%及18%。惠州核電擁有惠州一期項目，並負責該項目的建設及運營，預期兩臺核電機組將分別於2025年及2026年投入商業運營。
惠州第二核電是一家在中國成立的公司，主要從事核電廠的投資、開發、建設及運營。緊接收購事項完成前，其由中廣核全資擁有。惠州第二核電擁有惠州二期項目，並負責該項目的建設及運營，預期惠州3號機組將於2030年投入商業運營，4號機組目前處於FCD準備階段。
惠州第三核電是一家在中國成立的公司，主要從事核電廠的投資、開發、建設及運營，負責惠州三期項目的建設及運營。於本公告日期，中廣核並無對其作出資本投入，惠州三期項目目前尚處於覈準前的前期準備階段，因此惠州第三核電自其於2025年2月16日成立至2025年2月28日止期間並無產生任何資產、負債、收入和利潤。
湛江核電是一家在中國成立的公司，主要從事核電廠的投資、開發、建設及運營，負責湛江核電項目的建設及運營。於本公告日期，中廣核並無對其作出資本投入，湛江核電項目目前尚處於前期開發階段，因此於2023年、2024年及截至2025年2月28日止兩個月並無產生任何資產、負債、收入和利潤。
收購事項有助於減少集團與中廣核的潛在競爭。通過本次收購，公司控股的在運、在建和儲備裝機容量將分別有所增加。對於公司而言，擴大運營和建設裝機容量不僅是實現核能發電量增長和業績增長的有效方式，也是提升公司於核電行業市場地位和長期競爭力的重要途徑。本次收購有利於儘快擴大公司控制的在運、在建及潛在裝機規模，實現作爲中廣核核能發電唯一平臺的戰略定位，並進一步鞏固公司於行業的領先地位。有見及此，收購事項預期會增加公司的長期價值。
