佳鑫國際資源(03858.HK)預計8月28日上市 引入中國信達等多家基石
格隆匯8月20日丨佳鑫國際資源(03858.HK)發佈公告，公司擬全球發售約1.1億股股份，中國香港發售股份1098.12萬股，國際發售股份9882.76萬股，另有約15%的超額配股權；2025年8月20日至8月25日招股；發售價將爲每股發售股份10.92港元，每手買賣單位爲400股，中金公司爲獨家保薦人；預期股份將於2025年8月28日開始在聯交所買賣。
集團是紮根於哈薩克斯坦的鎢礦公司，專注於開發集團的巴庫塔鎢礦(“巴庫塔鎢礦項目”)，根據弗若斯特沙利文的資料，截至2024年12月31日，那是一個全球最大型三氧化鎢(WO3)礦產資源量露天鎢礦。根據弗若斯特沙利文的資料，截至2024年12月31日，集團的巴庫塔鎢礦亦是全球第四大WO3礦產資源量鎢礦(包括露天鎢礦及地下鎢礦)，在單一鎢礦中擁有世界上最大的設計鎢礦產能。於往績記錄期，集團主要專注於爲巴庫塔鎢礦項目的商業生產作準備。巴庫塔鎢礦項目於2025年4月開始一期商業生產，2025年的目標年度採礦及礦物加工能力爲330萬噸鎢礦石。截至最後實際可行日期，集團僅有一個礦場(即巴庫塔鎢礦)，近期的收入依賴於該礦場。
集團訂立基石投資協議，據此，基石投資者同意在若幹條件規限下，按發售價認購或促使其指定實體按發售價認購可按相當於7638萬美元的總金額購買的有關數目發售股份。基石投資者包括中國信達(香港)資產管理有限公司(“信達”，中國信達(01359.HK)的全資附屬公司)、新加坡魯銀貿易有限公司(“魯銀”，國有企業山東招金集團有限公司的全資附屬公司)、廣發基金管理及廣發國際資產管理(統稱“廣發基金”)、富國香港及富國基金、Zhengxin Group Investment Limited(“Zhengxin”)。
假設超額配股權並無獲行使及按發售價每股發售股份10.92港元計算，估計集團將獲得所得款項淨額約10.877億港元。集團計劃將全球發售所得款項淨額用於以下用途：約55.0%將用作撥付巴庫塔鎢礦項目開發的資本成本；約10.0%將用作發展集團的仲鎢酸銨(APT)生產能力；約25.0%將用作償還集團部分以歐元計值的銀行貸款的本金總額及應計利息，集團一直主要以銀行貸款撥付集團巴庫塔鎢礦項目的建設發展；以及約10.0%將分配作營運資金及其他一般公司用途。
