衢州發展(600208.SH)：擬購買先導電科95.4559%股份 股票將於8月13日起復牌
格隆匯8月12日丨衢州發展(600208.SH)公佈，上市公司擬通過發行股份的方式向先導稀材、中金先導、上海半導體、徐州高新、中金佳泰、中建材新材料基金、稀才家園、環恆投資、青島越馳、賽米投資、淄博盈科、格金二號、淄博六號、中電科、共青天祥、華金尚盈、嘉興康陽、交控中金、創勝投資、中化興發、新疆特變、比亞迪、海南川商、瑞世芯創、中金啓元、招商銅冠、濟南光宇、慧洋二號、中金產投、深圳信石、五礦元鼎、嘉興宸玥、珠海芯褀、蘇州璞達、創合鑫材、上海繆加、匯智翔順、共青城浩灃、深圳明遠、蘇州厚望、中金盈潤、東昊智造、廈門經禾里、上海喆界、上海憲導、中金明潤、晉江萬灃、青島楷聯購買其合計持有的先導電科95.4559%股份，並募集配套資金。
上市公司擬向不超過35名符合條件的特定投資者，以詢價的方式向特定對象發行股份募集配套資金，本次募集配套資金總額不超過30億元。該募集資金總額不超過本次發行股份方式購買資產交易價格的100%，發行股份數量不超過本次發行股份購買資產完成後上市公司總股本的30%。
本次交易募集配套資金扣除發行費用後的淨額擬用於補充上市公司及/或標的公司流動資金或償還債務、標的公司的項目建設，以及支付本次交易相關稅費及中介機構費用等，募集資金具體用途及金額將在重組報告書中予以披露。若最終募集配套資金總額不足，則不足部分將由上市公司以自有資金或者其他融資方式解決。
本次交易標的公司主營業務爲先進PVD濺射靶材和蒸鍍材料的研發、生產和銷售業務，同時也從事高純稀散金屬及化合物的回收提純、製備和銷售業務。標的公司產品主要面對的下遊市場包括顯示面板、先進光伏、半導體和新型固體燃料電池等領域，最終廣泛應用於新能源、計算機、消費電子、精密光學、數據存儲等終端市場。
從標的公司主營業務角度看，標的公司業務盈利能力良好，未來發展前景廣闊，符合上市公司在科技創新領域投資及轉型的發展方向。從發展轉型儲備角度看，標的公司是國內高端濺射靶材及蒸鍍材料的領先企業，核心產品全面覆蓋新型顯示、光伏及半導體等前沿新興戰略產業。
通過本次重組，標的公司主營業務將有力充實上市公司業務鏈條，擴展上市公司主營業務範圍，直接提供上市公司在先進新材料領域的實體製造業務發展平臺，進一步推動上市公司業務結構向硬科技實體制造轉型。本次重組完成後，上市公司將進一步形成“高科技投資賦能+地產資產管理”驅動格局，增強可持續發展韌性。
因公司籌劃發行股份購買資產並募集配套資金已取得進一步發展，公司股票將於2025年8月13日開市起復牌。
