中國抗體-B(03681.HK)與中山大學香港高等研究院訂立全面戰略合作協議 於生物醫學領域進行聯合研發
格隆匯8月12日丨中國抗體-B(03681.HK)公告，於2025年8月12日，公司與中山大學香港高等研究院有限公司("中山大學香港高等研究院"或"SYSU-IAS")(連同公司統稱"訂約方")訂立全面戰略合作協議，據此，訂約方同意開展爲期三年的合作，以於生物醫學領域進行聯合研發。
訂約方應於以下領域進行合作：
聯合研究工作：訂約方將利用彼此的專業知識聯合開展科學研究，包括髮現研究、靶點闡釋及嚴重疾病動物模型開發；中山大學香港高等研究院應負責爲該等聯合研究提供實驗場地和動物。
設施共用：中山大學香港高等研究院應允許本公司使用其位於中國內地深圳市深圳福田國際生物醫藥產業園的實驗室，以進行聯合科學研究。實驗室應被正式指定爲"中山大學香港高等研究院—中國抗體制藥有限公司聯合實驗室"。
技術支持：中山大學香港高等研究院應於關鍵領域爲本公司提供技術支持，包括與相關衛生主管部門(如香港衛生署、美國食品藥品監督管理局及中國國家藥品監督管理局)進行法規諮詢、確定合適的臨牀試驗地點，以及開展動物研究。
藥物研發：公司將挑選並提供至少一個候選藥物，用於在美國及中國提交IND申請及進行臨牀研發，並負責該臨牀研發的所有方面，包括試驗設計、執行及資金籌措。在將本公司選定的任何候選藥物提供予中山大學香港高等研究院以進行聯合研究前，訂約方將簽署一份物料轉移協議(MTA)，該協議將由本公司編制。
培訓與知識交流：訂約方應促進培訓計劃和人員交流，以提高研發治療嚴重疾病的專業知識，包括促進本公司、中山大學香港高等研究院及牛津大學在生物醫學研究創新和創新成果轉化方面的合作和建立聯繫。
本合作協議旨在藉助公司與中山大學香港高等研究院的聯合優勢，加速創新藥物的發展，並推動全球範圍內科研成果向臨牀應用的轉化。該合作將以項目驅動模式開展，以資源共享及高效溝通爲核心框架。該模式將使集團可直接利用中山大學香港高等研究院完備的實驗室設施、實驗動物供應資源(尤其非靈長類動物)和寶貴的數據資產，此乃推動創新藥研以及公司研發可持續發展的關鍵要素。董事會認爲此項戰略合作構建了一個互利共贏的框架，有助於推動增長並確保長期可持續性。此次合作與公司推進其在研創新藥組合的發展戰略相符。
董事會認爲，合作協議爲雙方提供了寶貴的機會，使其能夠充分發揮各自的資源和專業知識，實現互利共贏併產生協同效應。因此，董事會認爲訂立合作協議屬公平合理，並符合公司及其股東的整體利益。
