RAFFLESINTERIOR(01376.HK)獲瀚辰控股折讓約43.1%提收購要約 明日復牌
格隆匯8月7日丨RAFFLESINTERIOR(01376.HK)發佈公告，公司獲賣方終極環球企業有限公司告知，於2025年7月24日，賣方與要約人瀚辰控股有限公司訂立買賣協議，據此，賣方有條件同意出售而要約人有條件同意購買510,000,000股待售股份（佔公司於本聯合公告日期的全部已發行股本的51.00%），代價爲33,600,000港元。買賣協議項下待售股份的代價由要約人與賣方經參考股份的現行收市價後公平磋商協定。公司獲賣方進一步告知，完成已於2025年7月29日落實。
完成後，要約人及╱或其一致行動人士於合共510,000,000股股份中擁有權益，佔公司已發行股本總額的51.00%。
根據收購守則規則26.1及規則13.1，要約人須作出強制性無條件現金要約。股份要約價每股要約股份0.066港元，較2025年7月24日收市價每股0.116港元折讓約43.1%。
要約人爲一間於香港註冊成立的投資控股有限公司，由鄭能歡先生控制，且分別由鄭先生及其配偶唐女士直接實益持有70%及30%權益。鄭先生爲要約人的唯一董事。鄭先生，1966年2月出生，籍貫湖南省懷化市，畢業於湖南工業大學，爲中國高級工程師。鄭先生在企業戰略發展和經營管理方面具備超過30年的深厚經驗。鄭先生現爲深圳市華瀚科技控股有限公司的創辦人兼實際控制人，該公司爲華瀚品牌旗下企業集團的旗艦公司。
鄭先生於上世紀90年代初從湖南南下深圳創業。彼創立了華瀚集團的首家公司，深耕城市地下基建領域，二十餘載篤行致遠。2011年，鄭先生成立了深圳市華瀚科技控股有限公司，其後陸續成立華瀚投資、華瀚管道、華瀚投資控股等企業集團。歷經發展，華瀚企業業務涵蓋基建建設、高科技產品製造及智能數字系統，並於深圳及大灣區多個城市運營產業園區，以科技創新驅動發展。華瀚企業擁有近100項數字城市地下管網系統專利與軟件着作權，其由鄭先生持有多數股權，旗下包括多家國家級高新技術企業及深圳市專精特新企業，在先進管道材料及數字化管理解決方案領域處於領先地位。在鄭先生領導下，華瀚企業擔任主編、提供技術支持及實踐見解，參與制定四項中國國家地下管網建設與運營行業標準。
要約人有意繼續發展集團的現有主業。具體而言，要約人擬運用集團服務財富500強企業的設計及實務經驗，再結合要約人的資源，於大灣區擴大集團的主要業務。要約人亦擬藉助其供應鏈資源及數字能力以加強集團的競爭力、效率及盈利能力。
要約人擬於該等要約結束後維持股份於主板的上市地位。要約人將向聯交所承諾採取適當措施，以確保股份維持足夠公衆持股量。
此外，公司已向聯交所申請於2025年8月8日上午九時正起恢復股份於聯交所買賣。
