德林控股(01709.HK)擬配股總籌6.53億港元 戰略佈局RWA代幣化與虛擬資產
格隆匯8月7日丨德林控股(01709.HK)發佈公告，2025年8月7日(交易時段前)，公司、賣方及配售代理(即德林證券與國泰君安國際)訂立配售及認購協議，據此，(i)賣方已同意出售，而配售代理已同意作爲賣方的代理，盡力促使不少於6名承配人按配售價每股配售股份2.95港元購買配售股份(即將予配售的合共約2.01億股股份)，及(ii)賣方已有條件同意認購，而公司亦已有條件同意根據一般授權按相等於配售價每股先舊後新認購股份2.95港元的先舊後新認購價格向賣方配發及發行先舊後新認購股份(而有關先舊後新認購股份數目應與配售代理根據配售及認購協議實際配售的配售股份數目相同)。
配售股份佔於本公告日期現有已發行股本(不包括庫存股份)約13.58%，以及緊隨先舊後新認購事項結束後經配發及發行先舊後新認購股份擴大後已發行股本(不包括庫存股份)約11.96%。配售價爲每股配售股份2.95港元，較股份於最後交易日在聯交所所報收市價每股3.35港元折讓約11.94%。先舊後新認購事項的估計所得款項淨額預期約爲5.82億港元。
同日，公司與認購方(即DA Wolf Investment I Limited，公司控股股東陳寧迪先生全資擁有的公司)訂立特別授權認購協議，據此，根據特別授權認購協議所載的條款及條件，公司已有條件同意配發及發行，而認購方亦已有條件同意按特別授權認購價每股特別授權認購股份2.95港元認購特別授權認購股份。公司將配發及發行且認購方將認購最多2000萬股新股份。最多特別授權認購股份(即2000萬股股份)佔於本公告日期已發行股本(不包括庫存股份)約1.35%。特別授權認購事項的估計所得款項淨額預期約爲5857萬港元。
根據配售及認購協議及特別授權認購協議擬進行交易的所得款項總額合共估計約爲6.533億港元。公司擬將先舊後新認購事項及特別授權認購事項的所得款項淨額總額用於下列事項：(i)約30%用於支援集團的戰略收購及／或投資，以及擴展RWA代幣化計劃。這將涵蓋以集團認爲具有吸引力的估值收購知名的成熟階段私營科技、人工智能和創新初創公司的倉位，過往散戶投資者難以接觸該等企業；(ii)約15%用於發展比特幣挖礦業務及建立比特幣儲備；(iii)約7%用於在香港建立持牌虛擬資產場外交易及零售網絡，以及在香港和其他司法權區申請和升級虛擬資產相關業務的合規牌照；(iv)約8%用於進一步發展集團的數字資產、加密貨幣及穩定幣相關業務計劃，獨立聘用區塊鏈專家研究和開發相關係統及介面，或透過與全球知名的業界市場參與者成立戰略合營企業；(v)約10%用於投資位於美國的ONE Carmel優質住宅項目，以進一步鞏固集團在矽谷的地位及網絡，併爲集團的未來發展擴展人工智能及現實世界資產計劃；(vi)約10%用於投資資訊科技設施及系統升級，以支援集團數字資產及金融科技策略的進一步發展；(vii)約10%用於創建交易所買賣基金及發展量化投資，包括建立新的交易所買賣基金產品及算法投資能力，以擴大集團的金融產品範圍；及(viii)約10%用於補充集團營運資金及支援日常營運。
