交個朋友控股(01450.HK)擬1.8億元收購杭州交個朋友教育科技全部股權
格隆匯8月5日丨交個朋友控股(01450.HK)公吿，於2025年8月5日，該等賣方(龍泉莽原科技合夥企業、李亮、李鈞、龍泉交個朋友科技、李響)與該附屬公司交個朋友優選科技有限公司(作為買方)訂立股權購買協議，據此，該等賣方有條件同意出售而該附屬公司有條件同意收購銷售股權(相當於目標公司杭州交個朋友教育科技有限公司100%股權)，總代價為人民幣1.8億元。
完成後，目標公司將成為公司的間接全資附屬公司，而目標公司的綜合財務業績將於公司的綜合財務報表中合併入賬。
目標公司為一間於中國註冊成立的有限責任公司。目標集團主要從事為企業及個人客户提供多元化的直播電商及電商運營培訓解決方案，為客户提供線上線下課程及專屬直播電商合作的業務。
集團戰略性收購目標集團，旨在進一步提升集團在新媒體服務領域的綜合服務能力和核心競爭力，同時鞏固集團在直播電商領域的競爭優勢和市場影響力。收購完成後，集團將在多方位、多角度進行資源整合，加強集團現有新媒體業務與目標集團的業務間的協同效應，從而為股東創造更大價值：
1.提升人才能力
目標集團的頂尖講師團隊、實戰驗證的課程體系與深厚的行業洞見，將進一步提升集團團隊在直播運營、電商策略、主播孵化等關鍵領域的專業能力與執行力，加速集團能力建設，為未來業務增長奠定堅實的人才與技術基礎。
2.提升客户的廣度、深度
目標集團通過其電商培訓服務積累了大量精準的學員及企業客户。集團將利用其已有的直播電商服務優勢，深度挖掘交叉銷售機會與客户長期價值潛力，驅動收入增長。這將增強集團在直播電商領域的綜合服務能力，可吸引更多商業合作伙伴與客户。
3.豐富直播內容與知識沉澱
