盛諾集團(01418.HK)擬500萬歐元加碼控股M DK Holdings ApS 加速歐美睡眠家居市場佈局
格隆匯8月5日丨盛諾集團(01418.HK)發佈公吿，2025年8月4日，認購方(Treasure Range Holdings Limited，公司的一間全資附屬公司)、M Logistical及目標公司(即M DK Holdings ApS)訂立認購協議，據此，目標公司同意進一步發行及認購方同意進一步認購認購股份(即由目標公司發行的2.02萬股A股，佔完成後目標公司已發行股本總額約18.18%)，代價為500萬歐元(相當於約4590萬港元)。認購股份的認購價約為每股認購股份247.5歐元(相當於約2272.05港元)。完成後，目標公司將分別由M Logistical及認購方擁有55%及45%權益，因此目標集團的財務業績將綜合併入集團賬目。
M Logistical為一間根據荷蘭法律註冊成立的私人有限公司。其主要業務為金融控股。於認購事項前，目標公司由M Logistical擁有55%及由認購方擁有45%。目標公司為一間于丹麥註冊成立的私人有限公司，於本公佈日期，其現時擁有四間附屬公司，包括分被許可人。目標集團的主要業務為從事睡眠產品、傢俱及家居飾品的研發、設計、採購、貿易、質量保證及控制，業務重點地區是丹麥、歐盟及美國。目標集團亦與其現有客户開展業務，並不時在全球範圍內探索商業機會。目標集團為集團的現有客户，主要購買睡眠產品。
於本公佈日期，目標集團為集團的現有客户。鑑於目標集團業務的前景及發展，董事會認為，將集團於目標公司的股權由45%增加至55%，從而使目標集團成為集團的一部分，不僅將進一步加強已建立的業務關係，亦可發揮運營協同效應，鞏固長期戰略合作，擴大集團的客户基礎。通過獲得控股權益，集團預期將精簡決策流程，並改善為目標集團量身定製的服務產品。此更深層次的整合及控股權益使集團能夠從自目標集團優先獲得的新業務機會中受益，並有可能推動業務量和收入的進一步增長。另外，繼先前認購事項後，目標集團於2024年底將其業務拓展至美國市場。該拓展突破其早前專注於歐洲市場的侷限，創造了新的增長機遇，有助於增強未來業務前景，再加上其他因素，證明與先前認購事項相比，認購事項的認購價屬合理。此外，該策略性投資預期將開闢新的創新途徑，促進行業知識及見解的交流，並支持集團的長期增長目標。公司認為，目標公司在改善盈利能力方面的一貫往績記錄，使其成為集團有戰略價值的寶貴補充。
