宏安地產(01243.HK)就收購香港物業成立合營企業
格隆匯7月31日丨宏安地產(01243.HK)公吿,於2025年7月31日,宏安地產間接全資附屬公司Prime Resonance已與ADPF Oregon及合營公司訂立股東協議,內容有關就收購該物業成立合營企業。
有關合營公司的最高資本承擔總額約為291,040,000港元,其中Prime Resonance及ADPF Oregon將分別出資約43,660,000港元及約247,380,000港元。因此,合營公司的股份將由Prime Resonance及ADPF Oregon分別持有15%及85%。
該物業位於九龍內地段第9849號、九龍內地段第9725號及九龍內地段第10232號連同建於其上現稱為香港九龍砵蘭街60號(前稱砵蘭街54、56、58及60號)的宅院、豎設物及樓宇,以及建於其上現稱為「旭逸酒店• 旺角」的酒店(可能不時進行品牌重塑及重新營銷)。該物業上的酒店樓宇設有199間客房,總樓面面積約為48,595平方尺。該物業位於九龍油麻地的便利位置,步行至油麻地港鐵站僅一分鐘路程。
宏安董事會及宏安地產董事會認為,根據股東協議與ADPF Oregon合作乃一個良機,可利用宏安地產集團於物業投資及資產管理的知識及專長,並與一名經驗豐富的投資者合作,以提升及擴大投資物業組合,同時為宏安集團及宏安地產集團帶來合營公司的經營溢利份額。憑藉ADPF Oregon及宏安地產的經驗,該物業為擴展其物業組合的良機。
