富豪酒店(00078.HK)擬出售倫敦物業 聚焦香港核心業務

格隆匯7月29日丨世紀城市國際(00355.HK)、百利保控股(00617.HK)及富豪酒店(00078.HK)聯合公佈,2025年7月29日(英國時間及交易時段前),賣方(太陽月國際有限公司,富豪的一間全資附屬公司)及富豪(作爲賣方的擔保人)與買方(即MNX Properties Limited)訂立購股協議,整體購買價爲1950萬英鎊(相等於約港幣 2.09億元)。根據購股協議下的條款,賣方有條件同意出售而買方有條件同意購買銷售股份(即目標公司於完成日期的全部已發行股本),基本代價爲1英鎊(可予調整)。此外,作爲買賣交易的一部分,買方將於完成後向目標公司提供資金,致使及促使目標公司於緊接完成前償還將由目標公司結欠賣方的股東貸款;此目前預計約爲1946萬英鎊(相等於約港幣2.08億元)。富豪同意爲購股協議下賣方的責任作出擔保。

目標公司(即Waterman House Investments Limited,一間於英格蘭及威爾斯註冊成立的私人股份有限公司)爲該物業的唯一合法及實益擁有人。根據購股協議下賣方將收取的最高總代價估計不多於約 2043萬英鎊(相等於約港幣2.19億元)。目標公司由賣方全資擁有,其主要從事物業持有並持有該物業,其爲位於英國倫敦41 Kingsway的永久業權樓宇。2019年,富豪集團收購該物業(九層高(包括一層地庫),總樓面面積約爲2,150平方米(23,140平方尺))的控股公司的全部已發行股份。該物業現已空置。該物業的空置部分將於完成時交付。
