上峯水泥(000672.SZ)：全資子公司出讓對境外合資公司債權及資產權益
格隆匯7月23日丨上峯水泥(000672.SZ)公佈，2014年11月17日，公司第七屆董事會第十四次會議審議通過了《關於與ZETH國際合資在吉爾吉斯建設水泥熟料生產線項目的議案》，公司以全資子公司浙江上峯建材有限公司（簡稱“上峯建材”）為投資主體，與吉爾吉斯斯坦ZETH國際投資有限公司（簡稱“ZETH國際”）合作，在吉爾吉斯斯坦共和國（簡稱“吉國”）合資成立子公司上峯ZETH水泥有限公司（簡稱“上峯ZETH”），註冊資本2億元，其中上峯建材出資比例為58%，ZETH國際出資比例為42%。上峯ZETH擬在吉爾吉斯楚河州投資建設一條日產2800噸水泥熟料生產線及配套年產120萬噸水泥粉磨生產線。該項目啟動前期建設工作以來，受外部多重因素影響，導致建設進度長期滯後，目前仍未投產運營。2025年5月，上峯建材收到項目股東方ZETH國際轉寄的一份將上峯建材在上峯ZETH的股東資格予以排除並得到吉國地方法院的缺席判決支持的法律文件，上峯建材已聘請相關律師機構與ZETH國際及吉國地方法院進行溝通和確認。
為妥善處理上述股東資格爭議及股東在合資公司的資產權益問題，以及徹底解決項目各項問題障礙，結合公司戰略規劃調整，經相關各方友好協商一致，上峯建材擬與浙江省第一水電建設集團股份有限公司（簡稱“浙水股份”）、ZETH國際以及三方的相關方：朱榮軍、上峯ZETH、ZETH水泥有限公司（簡稱“ZETH水泥”）、歐洲混凝土有限公司（簡稱“歐洲混凝土”）、ZETH新標準有限公司（簡稱“ZETH新標準”）、浙江浙水新能源有限公司（簡稱“浙水新能源”）、浙江江能建設有限公司（簡稱“江能建設”）共同簽署關於上峯ZETH的股權及債權轉讓協議。其中，上峯建材擬按照轉讓協議約定，將其享有的對上峯ZETH的全部債權本息合計人民幣211,234,420.71元（本息金額合計29,427,213.05美元，按照2025年3月31日的人民幣對美元匯率中間價換算）以人民幣90,000,000元轉讓給浙水股份；同時ZETH國際將已登記在其名下股權中的上峯ZETH58%股權以10,000索姆（合計人民幣約820元）轉讓給浙水股份；浙水股份因海外業務發展需要，同意以上述價格受讓上峯ZETH58%的股權及上峯建材對上峯ZETH的全部債權。
