中國儒意(00136.HK)擬2.4億元收購快錢金融服務(上海)30%股權
格隆匯7月22日丨中國儒意(00136.HK)發佈公告，近日，公司的間接全資附屬公司上海儒意星辰企業管理有限公司(“買方”)、上海萬達網絡金融服務有限公司(“賣方”)及快錢金融服務(上海)有限公司(“目標公司”)訂立股權轉讓協議。據此，買方有條件同意受讓而賣方有條件同意轉讓目標公司30%股權(“收購事項”)，現金代價爲人民幣2.4億元，分三期支付。
目標公司於2011年首批獲得中國人民銀行(“央行”)頒發的第三方支付牌照，主要爲大中型企業提供綜合支付解決方案，同時積極佈局海外，發展數字人民幣，推出跨境收付款、全球收單、跨國人民幣結算、海外購等多種跨境產品，大力拓展跨境業務，爲跨境多場景提供綜合支付解決方案。於本公告日期，賣方持有目標公司30%股權。交易須待包括央行批準在內的若幹先決條件獲得滿足後，方可完成。完成後，公司將成爲目標公司單一最大股東，但目標公司將不會成爲公司的附屬公司，且目標公司的財務業績將不會於集團財務報表綜合入賬。目標公司應入賬列作於聯營公司的權益。
公司相信，收購事項能促使集團的業務拓展至第三方支付及金融科技領域，預期將有助於集團的長遠增長及發展。目標公司爲中國內地獲得全牌照的第三方支付機構之一，持有涵蓋互聯網支付、移動支付、銀行卡收單及跨境人民幣支付等多項支付業務牌照，並已完成跨境人民幣備案。目標公司在金融、保險、航旅、零售及跨境等多個行業積累了豐富的商戶資源及行業經驗，具備穩固的市場地位及業務基礎。據此，公司認爲，目標公司的支付服務能夠與集團現有業務，包括線上流媒體、線上遊戲服務，以及公司間接投資的附屬公司萬達電影股份有限公司的線下影城業務產生協同效應。
此外，目標公司亦爲中國人民銀行數字貨幣研究所首批合作機構之一，具備全面受理數字人民幣的能力，並積極參與數字人民幣及跨境支付場景的應用與推廣，具備良好的政策導向與技術創新潛力。公司認爲，收購事項將有助於集團拓展金融科技業務，實現業務多元化，並透過目標公司的行業資源、技術能力及政策優勢，爲集團帶來長遠的戰略協同效益及潛在的增長機會。
