康達環保(06136.HK)獲中國水務(00855.HK)溢價約2.4%提強制性現金要約
格隆匯7月21日丨康達環保(06136.HK)公告，於2025年7月11日，可交換債券持有人段已向康達控股送達EB通知，以換取546,728,004股股份，佔於本聯合公告日期公司已發行股本總額約25.55%，換股價爲每股股份0.25港元。股份要約價每股要約股份0.348港元較股份於最後交易日在聯交所所報收市價每股0.340港元溢價約2.4%。
EB交換完成於2025年7月21日落實，緊隨EB交換完成後，段傳良及Sharp Profit(推定爲與段傳良一致行動)於合共1,155,718,004股股份中擁有權益，佔公司已發行股本總額約54.01%。Sharp Profit(中國水務全資附屬公司)爲公司主要股東，於本聯合公告日期擁有公司已發行股本總額約28.46%。
由於進行EB交換，段傳良須根據收購守則規則26.1(b)就所有股份(彼及Sharp Profit已擁有及╱或同意收購者除外)提出(或促使他人代其提出)強制性無條件現金要約。段及Sharp Profit將作爲聯合要約人，共同提出(或促使他人代其提出)股份要約，並分配股份要約中有效提呈以供接納要約股份，由段及Sharp Profit按約93.00%及約7.00%比例承購。
中國水務透過其全資附屬公司Sharp Profit爲公司主要股東，於本聯合公告日期持有公司已發行股本總額約28.46%，而公司於中國水務集團財務報表中以權益會計法列作聯營公司。連同段作爲聯合要約人就中國水務所佔比例提出股份要約預期爲中國水務集團提供機會，使其維持及╱或增加於集團戰略投資。
中國水務爲一間股份於香港聯合交易所有限公司主板上市公司(股份代號：855)，連同其附屬公司，中國水務集團主要從事城市供水業務、管道直飲水供應業務及環保業務，包括提供污水處理及渠務營運及建設服務、固體廢物及危險廢物業務、環境衛生及水環境管理。
