萬城控股(02892.HK)訂立買賣協議及認購協議
格隆匯7月18日丨萬城控股(02892.HK)公吿，於2025年7月18日，公司全資附屬公司萬城發展訂立買賣協議及認購協議。於2025年7月18日，萬城發展與王麗盈女士訂立買賣協議。根據買賣協議，王麗盈女士已有條件同意出售，及萬城發展已有條件同意收購待售股份（約佔目標公司Fortune Radiant City Limited截至本公吿日期已發行股本總額的25.3%），代價總額為1.51億港元，將透過(i)支付現金代價；及(ii)萬城發展向王麗盈女士轉讓公司全資附屬公司FortuneBrilliant所有已發行股份（即出售事項）結算。
於2025年7月18日，萬城發展與王麗盈女士及目標公司訂立認購協議。根據認購協議，萬城發展已有條件同意認購，及目標公司已有條件同意配發及發行認購股份（約佔目標公司於完成後經擴大已發行股本的16.7%），認購價為1.2億港元。
買賣協議及認購協議項下擬進行交易的完成互為條件。認購協議項下擬進行的交易完成後，目標公司與待售股份相關的股權將由約25.3%減至約21.0%。因此，於完成後，公司將透過萬城發展於目標公司約37.7%的經擴大已發行股本中擁有權益。
目標公司為一間於英屬維爾京羣島註冊成立的投資控股有限公司。截至本公吿日期，目標公司由王麗盈女士全資擁有。立標有限公司為一間於香港註冊成立的投資控股有限公司。截至本公吿日期，立標有限公司由目標公司全資擁有。惠州立信為一間於中國成立的有限公司，主要在中國從事物業投資。截至本公吿日期，惠州立信由立標有限公司全資擁有。
於最近的董事會會議上，董事認可目標集團具有產生穩定租金收入的同時維持為未來發展提供機會的土地儲備的強大能力。有鑑於此，董事會表示有興趣探索對目標集團的潛在投資，作為長期業務擴張戰略的一部分。董事會相信，建立管理服務是集團利用在物業開發領域的豐富經驗實現業務多元化的戰略機遇。該方法被視為對所有物業屬必不可少，並且相對不受經濟波動的影響，從而降低業務風險。
