上海實業控股(00363.HK)出售附屬公司若幹資產
格隆匯7月18日丨上海實業控股(00363.HK)公告,於2025年7月18日,公司的間接附屬公司泉州上實投資(i)與泉州甄源訂立買賣協議一,據此,泉州上實投資同意出售而泉州甄源同意購買資產一,代價爲人民幣96,247,262元(含稅);(ii)與泉州歆源訂立買賣協議二,據此,泉州上實投資同意出售而泉州歆源同意購買資產二,代價爲人民幣1,149,752,342元(含稅);及(iii)與泉州歆源訂立買賣協議三,據此,泉州上實投資同意出售而泉州歆源同意購買資產三,代價爲人民幣806,689,767元(含稅)。該等出售事項涉及泉州上實投資的若幹資產,包括位於中國福建省泉州市的住宅單位、車位及地塊。該等出售事項的總代價爲人民幣2,052,689,371元(含稅)。
根據買賣協議一,泉州上實投資同意出售而泉州甄源同意購買位於中國福建省泉州市豐澤區泉寧路89號上實海上海格瀾郡5號樓103室(複式)住宅單位及C-7地塊餘下未開發部分的土地使用權(統稱爲"資產一")。
根據買賣協議二,泉州上實投資同意出售而泉州歆源同意購買位於C-7地塊的上實海上海格瀾郡5號、7樓、8號、9號及10號商品住宅以及配套產權車位(統稱"資產二")。訂約方就各住宅單位及車位將訂立具體的商品房合同。
根據買賣協議三,泉州上實投資同意出售而泉州歆源同意購買位於中國福建省泉州市豐澤區泉南路55號的上實海上海依雲軒第7號、8號、9號及10號商品住宅及產權車位(統稱"資產三")。訂約雙方將就每個住宅單位及車位訂立具體的商品房合同。
該等出售事項將有助集團加快庫存去化、優化資源配置、增加本集團的現金流入,從而滿足集團經營發展的資金要求。該等出售事項涉及出售位於福建省的若幹資產,符合上實發展逐步聚焦上海及長三角地區的整體發展策略。
