美迪凱(688079.SH)：擬分別收購海碩力和INNOWAVE VIETNAM兩家公司100%股權
格隆匯7月16日丨美迪凱(688079.SH)公佈，為落實公司的發展戰略，推進公司在海外市場業務的進一步拓展，根據前期考察和商務磋商，美迪凱及其下屬全資子公司
MDK KOREA 擬分別收購海碩力和INNOWAVE VIETNAM 兩家公司100%股權。
目標公司海碩力是
KEM TECH 在中國設立的獨資公司，美迪凱擬以20億韓元收購 KEM TECH 持有的海碩力100%股權，轉讓款以美元支付，換算後交易對價為146.31萬美元。
目標公司
INNOWAVE VIETNAM 是 INNOWAVE 在越南設立的獨資公司，MDK KOREA擬以10億韓元收購 INNOWAVE 持有的
INNOWAVE VIETNAM 100%股權，轉讓款以美元支付，換算後交易對價為73.16萬 美元。
以上兩項交易，合計總金額為219.47萬美元，資金來源為美迪凱及下屬全資子公司自有資金或自籌資金。
海碩力與
INNOWAVE VIETNAM，是超薄光學軟膜濾光片業務前後道加工的關聯企業，存在上下游業務關係，擁有共同間接持股大股東 YOO SUNGJOON
先生。
海碩力與 INNOWAVE VIETNAM，是超薄光學軟膜濾光片業務前後道加工的關聯企業（擁有共同間接持股大股東）。海碩力專注於前道的光學成膜等業務，而INNOWAVEVIETNAM 則從事後道的印刷與精密切割等業務，雙方已形成緊密協作關係。INNOWAVEVIETNAM 已進入國際知名品牌三星的供應鏈，通過以上兩家標的公司的收購，公司可直接進入三星供應鏈。同時，標的公司的產品與技術有效填補了公司在超薄光學軟膜濾光片業務的空白。
目前韓國在光學光電子和半導體領域已形成全球性戰略地位，韓國業務是公司海外市場拓展的主要方向之一。基於本次收購，有利於公司進一步拓展海外、尤其是韓國市場。另外，通過越南工廠收購，設立海外生產基地，可以大力推動公司海外業務拓展。本次交易完成將助力公司整合海外產業鏈資源、建設銷售網絡、推進市場推廣，進而擴大公司在海外的市場份額，提升品牌知名度和市場影響力，是公司實施國際化戰略的重要一步，為公司在亞太地區乃至全球範圍內的業務拓展提供有力支撐，同時提升公司的國際化運營管理水平，加快實現公司成為具有全球競爭力企業的戰略目標。
