中國稀土(00769.HK)：成立獨立調查委員會
格隆匯7月6日丨中國稀土(00769.HK)公佈，董事會近期收到一封投訴信，發件人自稱為集團於中國內地一間附屬公司的僱員，投訴信中指控(其中包括)集團附屬公司潛在挪用資產，導致債務累積以及銀行及供應商的頻繁造訪。
為核實該等指控，公司已委聘中國法律顧問對集團的兩間中國附屬公司宜興新威利成耐火材料有限公司及宜興新威利成稀土有限公司(統稱"該等附屬公司")進行盡職調查。經調查發現(i)該等附屬公司涉及多宗訴訟及強制執行相關案件；(ii)所涉及到期且未履行的債務金額或已超出該等附屬公司之實繳資本金額；及(iii)該等附屬公司已被納入中國的被執行人及限制高消費名單。
此外，董事會近期亦獲知悉，法定代表人代表蔣泉龍先生及蔣大偉先生提出申訴，其中包括對公司於2025年6月16日完成並公佈收購1,600公斤鎢條("收購事項")的有效性提出質疑。
由於大部分董事會成員認為：(i)收購事項及其完成已於2025年5月28日獲董事會正式授權(當時出席會議的所有五名董事(包括蔣泉龍先生及蔣大偉先生)均一致同意及批准收購事項)；(ii)蔣泉龍先生及蔣大偉先生亦參與完成的準備工作；及(iii)完成乃根據買賣協議的條款進行，故應當對有關投訴的內容進行進一步調查。
鑑於上述已知問題，董事會於2025年7月4日議決成立獨立調查委員會，以(i)處理投訴信及核實其中指控；(ii)對集團(包括但不限於該等附屬公司及所有相關人員)進行獨立調查；(iii)審查集團是否存在任何資產挪用行為；(iv)審查集團的內部監控並識別任何合規問題；(v)評估對本集團業務營運的影響、制定行動計劃並向董事會提供建議；(vi)就收購事項的有效性進行獨立調查；及(vii)處理董事會授權之任何其他事宜。
委員會須由公司獨立非執行董事組成。董事會已委任文剛鋭先生、康帥傑先生及葉仕偉教授為委員會成員，葉仕偉教授已獲委任為委員會主席。
