九臺農商銀行(06122.HK)獲吉林金融控股集團溢價約70.73%提全面現金要約
格隆匯7月3日丨九臺農商銀行(06122.HK)公告，於2025年7月3日，要約人(吉林省金融控股集團股份有限公司)與該行聯合宣佈，(i)中金公司將代表要約人就收購所有已發行H股作出自願有條件全面現金要約，H股要約價爲每股H股0.70港元，及(ii)要約人將就收購所有已發行內資股作出自願有條件全面現金要約，內資股要約價爲每股內資股人民幣0.63元。H股要約價0.70港元較最後交易日於聯交所所報收市價每股H股0.41港元溢價約70.73%。
假設要約獲全數接納，要約人根據要約應付的總現金代價將約爲676,550,778.40港元(就H股要約而言)及人民幣2,587,844,987.91元(就內資股要約而言)。
待H股要約成爲無條件(其中包括股東於臨時股東大會上批準退市及獨立H股股東於H股類別股東大會上批準退市)後，該行將根據上市規則第6.12條申請退市。
嘉林資本已獲委聘爲獨立財務顧問，以就要約及退市向獨立董事委員會提供意見。該委聘已獲獨立董事委員會根據收購守則規則2.1批準。該行的H股已自2025年3月12日上午九時正起於聯交所暫停買賣，並將繼續暫停買賣直至另行通知爲止。
要約人爲一家於2015年2月16日在中國註冊成立的股份有限公司，經營範圍爲：經相關部門批準開展銀行、證券、保險、信託、基金、擔保、票據、金融租賃、科技金融、金融資產、技術、產權交易金融和類金融業務投資與運營；投資諮詢、投資管理(不得從事理財、非法集資、非法吸儲、貸款等業務)；以區域性金融中心建設爲主的房地產開發、銷售、租賃、管理以及金融後援服務。(依法須經批準的項目，經相關部門批準後方可開展經營活動)。要約人的控股股東爲吉林省財政廳，於本公告日期直接及間接持有要約人約96.82%股份。要約人的剩餘股份由一間國有企業長髮金融控股(長春)有限公司持有，於本公告日期，該企業直接持有要約人約3.18%股份。
