佑駕創新(02431.HK)擬配售最多680萬股總籌1.58億港元 將重點投入智能駕駛與L4自動駕駛業務
格隆匯7月3日丨佑駕創新(02431.HK)發佈公告，2025年7月2日，公司與獨家配售代理(即中信證券)訂立配售協議，據此，公司同意委任獨家配售代理，而獨家配售代理同意作爲公司的代理盡最大努力促使不少於6名承配人(將爲機構、企業專業及其他投資者，且彼等及彼等的最終實益擁有人將爲獨立第三方)按配售價每股配售股份23.26港元認購最多680萬股新H股。
假設所有配售股份獲悉數配售予承配人，配售事項的所得款項總額預期合共約爲1.58億港元，而配售事項的所得款項淨額(經扣除傭金及估計開支後)預期合共約爲1.55億港元。公司擬將配售事項的所得款項淨額按以下金額分配並作以下用途：(i)約40%用於提升智能駕駛解決方案功能表現及滿足快速增長的中高階輔助駕駛項目規模化落地需求；(ii)約30%用作L4級自動駕駛解決方案的技術升級，支持載人載貨自動駕駛場景的商業化落地；(iii)約20%用作探索潛在的策略夥伴、聯盟及收購機會；及(iv)約10%用作營運資金和一般企業用途。公司擬於未來兩年將配售事項的所得款項淨額撥作上述擬定用途。
2025年以來，受整車廠智駕平權戰略推動，中高階輔助駕駛需求快速增長，也對行業技術先進性提出更高要求。在此背景下，公司承接的中高階輔助駕駛項目同比顯著增長，項目並行開發對研發人力形成迫切需求。配售事項所得款項將保障公司於全球發售後確定的新定點項目交付、新一代端到端技術持續投入，確保充足現金流支撐業務穩健運營。
此外，配售事項將爲集團L4自動駕駛業務iRobo提供資金支持。依託全棧自研先發優勢，伴隨今年L4自動駕駛項目需求爆發，集團已進入項目與投入並行增長階段。爲把握市場機遇、加速商業化解決方案落地，需增加該業務投入，推進技術創新與商業模式探索。董事會認爲，鑑於近期市場狀況，此次配售對集團而言是一個機遇，也是一種合適的融資選擇，有助於集團籌集額外資金以支持其業務增長，特別是支持中高階輔助駕駛業務規模化擴張及L4自動駕駛iRobo業務商業化落地，並進一步使公司股東結構和資本基礎多元化。
