杉杉品牌(01749.HK)獲執行董事兼主席駱葉飛折讓約88.81%提收購要約
格隆匯6月30日丨杉杉品牌(01749.HK)宣佈，於2025年6月30日，要約人駱葉飛先生（公司執行董事兼主席）與該等賣方訂立該等股權轉讓協議，據此，要約人同意收購而該等賣方同意出售寧波聯康財合共46.50%的股本，總代價人民幣1,116,558.00元。完成已於該等股權轉讓協議日期（即2025年6月30日）落實。
緊隨完成後及截至本聯合公告日期，要約人持有寧波聯康財的65.10%股本，故此被視爲於寧波聯康財持有的24,012,000股內資股（佔總已發行股份18.00%）擁有權益，而寧波聯康財則被視爲收購守則「一致行動」定義的第(8)類推定項下與要約人一致行動。
基於上文所述，要約人、陝西茂葉及寧波聯康財擁有合共52,021,000股內資股，佔本聯合公告日期總已發行股份約39.00%。
根據收購守則規則26.1，要約人須根據收購守則以現金就所有已發行內資股及H股提出強制性有條件全面要約。內資股要約價每股內資股人民幣0.1000元及H股要約價每股H股0.1097港元，較於2025年6月30日在聯交所所報每股H股收市價0.9800港元折讓約88.81%。
要約人（駱先生），50歲，於2016年5月18日獲委任爲執行董事，並於2020年6月26日獲委任爲董事會主席。駱先生亦爲總經理，負責集團的整體發展規劃及業務營運。彼亦爲(i)公司直接全資附屬公司寧波杉杉時尚服裝品牌管理有限公司的董事；及(ii)公司直接全資附屬公司寧波杉杉漢服文化有限公司的經理。彼在服裝行業擁有逾20年的經驗。駱先生於2013年6月1日加入集團，擔任公司前身寧波杉杉服裝品牌經營有限公司的總經理。於加入公司前，駱先生於2009年9月至2013年6月期間出任公司主要股東陝西茂葉（一家主要從事服飾生產及銷售的公司）的總經理及控股股東，負責該公司的生產營運管理。駱先生爲執行董事周玉梅女士的丈夫。
要約人有意於該等要約交割後繼續從事集團的現有主要業務，並與公司管理團隊緊密合作，以提升客戶及股東價值。
