天億馬(301178.SZ)：擬購買星雲開物100%股權 進一步拓展智能自助設備數字化服務領域業務、6月24日起復牌
格隆匯6月23日丨天億馬(301178.SZ)公佈發行股份及支付現金購買資產並募集配套資金暨關聯交易預案，天億馬擬以發行股份及支付現金的方式向陳耿豪、南通成為常青股權投資合夥企業(有限合夥)、珠海廣發信德科文創業投資基金(有限合夥)、蘇州市德同合心創業投資合夥企業(有限合夥)、珠海樂陶陶投資合夥企業(有限合夥)、林芝利新信息技術有限公司、楊凱然、張傑波、璀璨遠見(深圳)企業管理合夥企業(有限合夥)、珠海樂熙熙投資合夥企業(有限合夥)、珠海樂騰騰投資合夥企業(有限合夥)、深圳市前海千意智合三期投資合夥企業(有限合夥)、胡俊、王佳、楊裕雄、珠海樂哈哈投資合夥企業(有限合夥)、廣州廣發信德二期創業投資合夥企業(有限合夥)、璀璨德商(深圳)創業投資中心(有限合夥)、廣州信德創業營股權投資合夥企業(有限合夥)、珠海樂搖投資合夥企業(有限合夥)、珠海康遠投資企業(有限合夥)、上海德盾企業管理合夥企業(有限合夥)共22名交易對方購買其合計持有的星雲開物100%的股權。
其中，天億馬以支付現金方式購買交易對方合法持有的星雲開物51%股權；以發行股份方式購買交易對方合法持有的星雲開物49%股權。本次交易前，天億馬未持有星雲開物股權；本次交易完成後，星雲開物將成為天億馬的全資子公司，納入天億馬合併財務報表範圍。
標的公司是一家智能自助設備數字化服務提供商，專注於提供“IoT智能硬件+SaaS雲平台”一體化解決方案，致力於實現智能自助設備的物聯通訊和數字化升級。
通過本次交易，上市公司與標的公司在產業鏈佈局、技術研發、市場拓展、產品迭代等方面將產生互補和協同效應。一方面，上市公司將進一步拓展智能自助設備數字化服務領域業務，實現圍繞信息技術服務的深度佈局，形成雙輪驅動的發展模式，進一步提升公司業績成長性；另一方面，上市公司能夠拓展智能自助設備數字化服務的研發能力，持續完善公司產業鏈佈局，滿足更多的應用場景及客户多元化需求，擴大公司整體銷售規模，進一步提升持續盈利能力和核心競爭力，維護全體股東利益。
公司(證券簡稱：天億馬，證券代碼：301178)將於2025年6月24日(星期二)開市起復牌。
