雅居樂集團(03383.HK)擬出售廣東珠江橋生物科技股權 套現1.91億元用於債券兑付
格隆匯6月24日丨雅居樂集團(03383.HK)發佈公吿，2025年6月23日，(i)雅新投資(公司的全資附屬公司)與省食出集團(即廣東省食品進出口集團有限公司)訂立買賣協議，據此雅新投資有條件同意出售而省食出集團有條件同意購買目標公司約3552.28萬股股份(佔目標公司約21.1632%的股權)，代價約為人民幣1.91億元；及(ii)雅新投資與目標公司訂立回購協議，據此雅新投資有條件同意出售而目標公司有條件同意以定向減資方式回購目標公司約794.94萬股股份(佔目標公司約4.7360%的股權)，代價為人民幣4279.17萬元。
目標公司(即廣東珠江橋生物科技股份有限公司)主要從事高鹽稀態醬油、醋、複合調味料等調味品的研發、生產與銷售。於本公吿日期，(i)目標公司為省食出集團的並表附屬公司，省食出集團為目標公司的控股股東，持有目標公司約31.6440%的股權；(ii)雅新投資持有目標公司約25.8991%的股權；及(iii)剩餘約42.4569%的股權由5家企業、合夥企業及22名自然人股東持有(每一名股東持有不多於目標公司三分之一的股權)。於本公吿日期，集團通過雅新投資間接持有目標公司約25.8991%股份，目標公司為公司的聯營公司。出售事項及回購事項完成後，集團將不會持有目標公司的任何股份。
2023年3月，雅居樂地產(即廣州番禺雅居樂房地產開發有限公司，為公司的間接全資附屬公司)發行“23番雅02”債券，由公司和中盈盛達提供全額無條件不可撤銷的連帶責任保證擔保，同時雅新投資持有的目標公司的股權已質押予中盈盛達，向其提供反擔保。集團擬將出售事項的所得款項人民幣約1.91億元用作向“23番雅02”債券持有人兑付全部債券本息。同時，集團擬將回購事項的所得款項用於集團的日常經營管理。
