康龍化成(300759.SZ)：股東解除一致行動關係
格隆匯6月20日丨康龍化成(300759.SZ)公佈，近日收到公司股東廈門龍泰鼎盛企業管理合夥企業（有限合夥）（簡稱“龍泰鼎盛”）、廈門龍泰匯盛企業管理合夥企業（有限合夥）（簡稱“龍泰匯盛”）、廈門龍泰匯信企業管理合夥企業（有限合夥）（簡稱“龍泰匯信”）、廈門龍泰衆盛企業管理合夥企業（有限合夥）（簡稱“龍泰衆盛”，與龍泰鼎盛、龍泰匯盛、龍泰匯信合稱“員工持股平臺”）出具的《告知函》，獲悉員工持股平臺普通合夥人暨執行事務合夥人鄭北女士同時作爲公司實際控制人之一，負責公司的行政管理和資產管理，特別是公司的設施建設工作，考慮到員工持股平臺涉及衆多持股員工、合夥人及其合夥份額的管理，鄭北女士對員工持股平臺的管理時間、精力有限，爲進一步聚焦公司業務發展，同時保障員工持股平臺運營管理的有序進行，根據《合夥企業法》及相關《合夥協議》的約定，經員工持股平臺全體合夥人一致書面同意，決定變更員工持股平臺的普通合夥人暨執行事務合夥人。
鄭北女士是公司實際控制人之一、董事、執行副總裁，在公司首次公開發行股票並上市時，其作爲員工持股平臺的普通合夥人暨執行事務合夥人，實際控制員工持股平臺所持有公司股份的表決權，員工持股平臺爲鄭北女士的一致行動人。在一致行動關係存續期間，各方在公司重大事項的決策上始終保持一致意見，嚴格履行相關承諾事項，不存在濫用自身控制地位的情形。2025年6月20日，經員工持股平臺全體合夥人一致書面同意，決定變更員工持股平臺的普通合夥人暨執行事務合夥人。新任普通合夥人暨執行事務合夥人將按照《合夥企業法》及相關《合夥協議》之規定執行合夥事務，對員工持股平臺重大事項進行獨立決策，並對員工持股平臺的債務承擔無限連帶責任。
承上所述，鄭北女士與員工持股平臺之間的一致行動關係是因鄭北女士擔任員工持股平臺的普通合夥人暨執行事務合夥人，對其構成控制關係而形成。除上述控制關係外，鄭北女士與員工持股平臺未簽署過一致行動協議，也未就對公司股東權利行使保持一致行動的具體安排進行過其他明確約定。鄭北女士不再擔任員工持股平臺的普通合夥人暨執行事務合夥人後，對員工持股平臺不再構成控制關係，不存在根據《上市公司收購管理辦法》第八十三條規定應認定爲一致行動人的情形。
本次解除一致行動關係後，公司控制權不會發生變化，公司實際控制人仍是BoliangLou博士、樓小強先生和鄭北女士。
