中薇金融(00245.HK)旗下公司斥資5.14億港元增持威馳騰集團 強化新能源商用車產業鏈
格隆匯6月22日丨中薇金融(00245.HK)發佈公告，2025年6月20日，買方(中民戰略投資管理控股有限公司，公司的間接全資附屬公司)(i)與賣方A(即Integrated Winners Enterprises Limited)就收購銷售股份A訂立買賣協議A，據此，買方已同意收購而賣方A已同意出售銷售股份A，相當於目標公司已發行A類股份約23.87%，代價爲2.841億港元；及(ii)與賣方B(即Smart Silver Global Limited)就收購銷售股份B訂立買賣協議B，據此，買方已同意收購而賣方B已同意出售銷售股份B，相當於目標公司已發行A類股份19.33%，代價爲2.3億港元。該等買賣協議項下的總代價爲5.141億港元。由於買方已於目標公司已發行A類股份中擁有約9.24%權益，該等買賣協議完成後，公司將間接擁有目標公司已發行A類股份合共約52.44%權益。
目標公司(即Wisdom Moon (BVI) Limited)爲一間於英屬處女羣島註冊成立的有限公司。目標公司爲一間投資控股公司，其主要投資爲於開曼羣島註冊成立的有限公司Wisdom Group Holdings Limited(“Wisdom Group Holdings”，連同其附屬公司統稱“威馳騰集團”)，於本公告日期，目標公司持有Wisdom Group Holdings的有投票權普通股，相當於其已發行股本約43.28 %。於本公告日期，Wisdom Group Holdings有已發行有投票權普通股及有投票權優先股，分別相當於其已發行股本總數約75.38 %及約24.62 %。
根據威馳騰集團提供的資料，威馳騰集團主要從事新能源商用車輛的設計及製造，供應電池驅動電動車輛(“電池驅動電動車輛”)、燃料電池電動車輛(“燃料電池電動車輛”)及混合動力車輛(“混合動力車輛”)。於本公告日期，威馳騰集團已開發多款新能源汽車產品，涵蓋城市巴士、豪華旅遊巴士、物流車、重型貨車及其他商用車等多個領域。威馳騰集團的產品已成功通過歐盟、澳大利亞、中國香港、日本、新加坡、英國等多個發達國家及地區的認證。於本公告日期，除目標公司外，威馳騰集團的股東亦包括(其中包括)Ballard Power Systems Inc，該公司於納斯達克上市，主要從事設計、開發、製造、銷售及服務適用於各種應用的質子交換膜(“PEM”)燃料電池產品，專注於重型動力(包括巴士、卡車、鐵路及船舶應用)、物料處理及固定發電等動力產品市場，以及提供技術解決方案，包括工程服務、技術轉移、多種PEM燃料電池應用的廣泛知識產權組合及基本知識的許可及銷售。
