復星國際(00656.HK)：珠寶時尚集團以增資擴股方式引入投資者
格隆匯6月13日丨復星國際(00656.HK)公吿，豫園股份(公司附屬公司)籌劃其附屬公司珠寶時尚集團以增資擴股方式引入投資者，計劃融資金額不超過人民幣20億元，投資者數量合計不超過40家。
於2025年6月13日，豫園股份、上海豫逸金、菏澤珠盈、交銀資產(目標公司現有股東)與中銀資產(作為投資人)及目標公司簽訂本次增資協議，據此各方同意中銀資產以人民幣4億元現金方式認購目標公司的新增註冊資本人民幣96,352,578元，佔本次增資後目標公司經擴大股權總額的3.5596%。本次增資完成後，公司透過豫園股份間接持有目標公司經擴大股權總額的91.03%，目標公司仍為公司附屬公司。
於2024年11月20日，豫園股份、上海豫逸金、菏澤珠盈(目標公司時任股東)及目標公司與36名外部投資人分別簽訂若干投資協議，據此各方同意36名外部投資人各自對菏澤珠盈以現金方式出資，然後通過菏澤珠盈對目標公司增資的形式間接入股目標公司。外部投資人認繳菏澤珠盈的出資份額合計為人民幣7.7億元，佔菏澤珠盈78.5714%，成為菏澤珠盈的有限合夥人；森澈商務諮詢(豫園股份全資附屬公司)為菏澤珠盈的普通合夥人，認繳菏澤珠盈出資份額人民幣0.1億元，佔菏澤珠盈的1.0204%；星選數據科技(豫園股份全資附屬公司)為菏澤珠盈的有限合夥人，認繳菏澤珠盈出資份額人民幣2億元，佔菏澤珠盈的20.4082%。
緊隨認繳後，菏澤珠盈仍並表於豫園股份。由菏澤珠盈以總計人民幣9.8億元現金方式認購目標公司的新增註冊資本人民幣241,972,889元，佔該投資後目標公司經擴大股權總額的9.8196%。
於2024年12月20日，豫園股份、上海豫逸金、菏澤珠盈(目標公司時任股東)與交銀資產(作為投資人)及目標公司簽訂交銀增資協議，據此該協議各方同意交銀資產以人民幣6億元現金方式認購目標公司的新增註冊資本人民幣146,328,846元，佔該增資後目標公司經擴大股權總額的5.6054%。於該等增資前及該等增資完成後，公司透過豫園股份分別間接持有目標公司100%及91.03%的股權(假設於本公吿日期至該等增資完成日目標公司股權總額並無變動)。
