宏安地產(01243.HK)及WANG ON GROUP(01222.HK):擬成立新合營以收購及開發香港物業

格隆匯6月12日丨宏安地產(01243.HK)及WANG ON GROUP(01222.HK)公吿,宏安董事會及宏安地產董事會於2025年6月12日聯合公佈:(a)Wickert Investments已有條件同意出售及ADPF Holding已有條件同意收購(i)Fortune Harbour待售股份(佔Fortune Harbour已發行股份的20%權益);及(ii)Fortune Harbour待售貸款(佔Fortune Harbour結欠Wickert Investments的貸款的20/35),代價約為8644萬港元,惟須受Fortune Harbour買賣協議的條款及條件所規限;而宏安地產已同意擔保Wickert Investments妥善、適當及準時履行及遵守其於Fortune Harbour買賣協議項下的責任;及

(b)Ever Sonic Enterprises已有條件同意出售及ADP FInvestment已有條件同意收購(i)Mega Hope待售股份(佔Mega Hope已發行股份的20%);及(ii)Mega Hope待售貸款(即Mega Hope結欠Ever Sonic Enterprises的貸款的20/35),代價約為800,000港元,惟須受Mega Hope買賣協議的條款及條件所規限;而宏安地產已同意擔保Ever Sonic Enterprises妥善、適當及準時履行及遵守其於Mega Hope買賣協議項下的責任。

鑑於該等AG合營企業夥伴與宏安地產就該物業成功合作,並進一步合作進行潛在項目,宏安董事會及宏安地產董事會亦欣然宣佈,於2025年6月12日,ADPF Member、Prime Resonance及宏安地產(作為擔保人)訂立框架協議,據此,ADPFMember及Prime Resonance已同意成立新合營企業,以就目標業務開展合作。

有關目標業務的業務合作涉及活動及業務營運,包括位於香港的任何物業(主要用作學生宿舍)的收購、持有、融資、開發、重建、重新定位、翻新、租賃、出售或品牌推廣。

繼"日新舍"項目成功合作後,宏安集團、宏安地產集團與AG夥伴已同意開拓學生宿舍項目的進一步共同投資機遇。是次合作將使訂約方善用宏安地產於物業投資及管理方面的專長,以及AG夥伴作為投資物業投資者的經驗,從而促使宏安及宏安地產擴充業務組合。因此,訂約方同意根據框架協議透過成立新合營企業開展業務合作。
