海天味業(03288.HK)預計6月19日上市 GIC等豪華基石陣容加持
格隆匯6月11日丨海天味業(03288.HK)發佈公告，公司擬全球發售約2.63億股H股(視乎發售量調整權及超額配股權行使與否而定)，中國香港發售股份1579.43萬股，國際發售股份約2.47億股；2025年6月11日至6月16日招股，預期定價日爲6月17日；發售價將爲每股發售股份35.00-36.30港元，每手買賣單位爲100股，中金公司、高盛及摩根士丹利爲聯席保薦人；預期股份將於2025年6月19日開始在聯交所買賣。
集團是有着悠久歷史傳承的中國調味品龍頭企業，致力於提供優質產品以服務家常烹飪及用餐體驗的調味需求。集團的主要品類包括醬油、蠔油、調味醬、特色調味品及其他。根據弗若斯特沙利文報告，集團是中國調味品行業的領導者，按2024年的收入計，集團在中國調味品市場排行首位。2024年中國調味品市場規模達人民幣4,981億元，而集團的市場份額爲4.8%，是集團最大競爭對手的兩倍以上。按2024年的收入計，集團位居全球第五。2024年全球調味品市場規模達人民幣21,438億元，而集團的市場份額爲1.1%。按銷量計，集團已連續28年蟬聯中國最大調味品企業。集團的醬油、蠔油產品銷量多年位居中國調味品市場第一，調味醬、食醋及料酒亦位居中國市場前列。
集團已訂立基石投資協議，據此，基石投資者已同意在遵守若幹條件的情況下，按發售價認購或促使其指定實體認購總金額5.95億美元(或46.675億港元)可購入的發售股份數目。根據發售價每股H股35.65港元(即指示性發售價範圍的中位數)計算，基石投資者將認購的發售股份總數爲約1.31億股發售股份。基石投資者包括HHLR Advisors, Ltd.(“HHLRA”，隸屬於高瓴集團)、GIC Private Limited(“GIC”)、RBC、源峯基金、UBS AM、Boyu、HSG Growth、以及佛山發展有限公司(“佛山發展”)。
假設發售價爲每股發售股份35.65港元(即所述發售價範圍的中位數)，集團估計將自全球發售收取所得款項淨額約92.712億港元(假設發售量調整權及超額配股權並無獲行使)。根據集團的戰略，集團擬將全球發售的所得款項淨額約20.0%用於產品開發以及前沿技術的研發和工藝升級；約30.0%將用於產能擴張、採納新技術及供應鏈的數字化升級；約20.0%將用於通過建立集團的全球品牌形象、拓展銷售渠道以及提升海外供應鏈能力，以提升集團的全球影響力；約20.0%將用於增強集團的銷售網絡及提升其滲透能力；以及所得款項淨額約10.0%將用作營運資金及一般企業用途。
