固生堂(02273.HK)：Tu Health Care以現金向GushengtangSingapore注資160萬新加坡元
格隆匯6月10日丨固生堂(02273.HK)公吿，於2025年6月10日，Gushengtang Singapore（為公司的全資附屬公司）與TuHealth Care訂立股份認購協議，據此，Tu Health Care同意以現金向GushengtangSingapore注資1.6百萬新加坡元。於注資完成後，(i) Gushengtang Singapore將由公司及Tu Health Care分別持有約83.16%及16.84%。
Gushengtang Singapore為於2025年3月20日根據新加坡法律註冊成立的公司，註冊資本為7.9百萬新加坡元（尚未實繳），主要從事研發、營銷及銷售、供應鏈服務及營運業務支援中心。截至本公吿日期，Gushengtang Singapore為公司的全資附屬公司，並無開展重大業務營運。
Tu Health Care為於2021年9月10日根據新加坡法律註冊成立的公司。Tu HealthCare主要從事投資控股業務。截至本公吿日期，Tu Health Care由Tu FamilyHoldings Limited全資擁有，而Tu Family Holdings Limited由Frantor Limited全資擁有。Frandor Limited由Trident Trust Company (Singapore) Pte. Limited全資擁有。Trident Trust Company (Singapore) Pte. Limited是TZL Family Trust的受託人，塗先生是該信託的保護人及權力持有人。塗先生為公司執行董事、董事會主席、首席執行官及公司控股股東之一。
公司擬指定Gushengtang Singapore作為其於新加坡境內及全球的國際業務總部。此戰略行動旨在提升集團的海外業務發展能力，並可更專注及有效地擴展至國際市場。塗先生對Gushengtang Singapore的注資不僅能改善其資本結構及支持其營運規模的增長，亦能與Gushengtang Singapore分擔風險，增強Gushengtang Singapore的可信度及對外部投資者的吸引力，繼而擴大其獲得多元化的融資管道及為未來集資奠下堅實基礎。
