立案，退市！又一“老油企”告別A股
又一家上市公司將告別A股！
6月6日，*ST海越（600387）收到上海證券交易所《關於海越能源集團股份有限公司股票終止上市的決定》，上海證券交易所決定終止ST海越股票上市。公司股票將於2025年6月16日進入退市整理期，預計最後交易日期爲2025年7月4日。
在收到股票終止上市決定的當日，*ST海越還發布公告稱，公司收到證監會下發的《立案告知書》。因涉嫌信息披露違法違規，公司被立案。而這已是其第三次遭監管立案。
連續兩年被出具無法表示意見審計報告
資料顯示，*ST海越成立於1993年，2004年登陸A股市場。公司早期以石油倉儲、液化氣銷售、成品油貿易爲主業，後逐步拓展至新能源領域，如鋰電池材料（如鈷資源）的投資。
*ST海越的退市並非突如其來，而是“預料之中”的結局。
根據公告，公司2023年年度財務報告已被出具無法表示意見的審計意見。
隨後，公司於2024年4月29日披露的2024年年報中，審計機構依舊維持“無法表示意見”結論，並同步出具否定意見的內控報告，形成“雙殺”。
依據《上海證券交易所股票上市規則（2025年4月修訂）》：
連續兩年年度報告被出具無法表示意見或否定意見的審計報告，且經自查無法滿足“撤銷退市風險警示”條件，將觸發強制退市紅線。
此外，資料顯示公司存在控股股東資金佔用（2021-2022年違規佔用資金超12億元）、信披違規等歷史問題，這些也埋下了退市隱患。
此次*ST海越被立案的原因等細節尚未披露，但透過公司此前兩次被立案及處罰信息，不難看出公司佔用資金、關聯交易信披違規等問題顯著。
2021年12月18日，公司首次因涉嫌信息披露違法違規被立案。經查明，2020年間，公司合計未按規定披露非經營性關聯交易數額達19.83億元，佔公司2020年半年報記載的淨資產絕對值的63.19％。
中國證監會對公司和相關責任人給予警告，並對公司、時任董事長兼總經理邱國良分別處以100萬元、70萬元罰款，對公司時任董事兼財務總監周勇、時任董事邢喜紅和王侃分別罰款50萬元。
2025年Q1仍陷虧損
業績方面，公司近幾年業績表現不佳。
自2021年起，公司營收逐年大幅下滑，從2021年的81億元跌至2024年的不到15億元，三年累計下降逾80%。
2024年實現營收14.83億元，同比下降30.32%；淨利潤-3億元，同比下降22.14%。2023年實現營收21.28億元，同比下降67.7%；淨利潤-2.45億元，同比大降538.01%。
2025年一季度營收5.24億元，雖同比增長12.75%，但淨利潤仍虧損，
2025年一季度繼續虧損1408萬元，同比減少243.19%。Follow us
