帝歐家居(002798.SZ)：實際控制人簽署《戰略合作協議》《一致行動協議》暨控制權變更
格隆匯6月5日丨帝歐家居(002798.SZ)公佈，朱江先生、劉進先生、陳偉先生、吳志雄先生簽署了《戰略合作協議》，各方在推動公司可轉債轉股、一致行動、推動上市公司可轉債的有效化解、流動性支持等方面達成戰略合作。具體情況如下：1、推動公司可轉債轉股方面：朱江先生承諾自本協議簽署之日起10個交易日內，將促使水華智雲完成截至本協議簽署日已持有的全部公司可轉債（526,163張）按當前轉股價格5.1元/股轉股。
2、一致行動方面：朱江先生、劉進先生、陳偉先生、吳志雄先生簽署《一致行動協議》，上市公司實際控制人由劉進先生、陳偉先生、吳志雄先生變更爲朱江先生、劉進先生、陳偉先生、吳志雄先生。任一方擬就公司經營發展的重大事項向董事會、股東會（包含股東大會、股東會，以下統稱股東會）提出議案之前，或在行使董事會、股東會等事項的表決權之前，各方應先對相關議案或表決事項進行充分協商，並達成一致意見後按一致意見行動。如果經各方正式協商兩次後仍不能達成一致意見，各方應以朱江先生的意見爲準。
3、推動上市公司可轉債的有效化解：朱江先生承諾盡全力持續推動上市公司可轉債餘額實質性減少。4、流動性支持：朱江先生將根據上市公司的實際經營需要，在必要時提供流動性支持。
朱江先生、劉進先生、陳偉先生、吳志雄先生爲致力於上市公司長遠發展，各方擬在上市公司重大事項決策上形成一致行動，簽署了《一致行動協議》。《一致行動協議》簽署後，朱江先生、劉進先生、陳偉先生、吳志雄先生成爲一致行動人，公司實際控制人由劉進先生、陳偉先生、吳志雄先生變更爲朱江先生、劉進先生、陳偉先生、吳志雄先生。在《一致行動協議》有效期內，任一方擬就公司經營發展的重大事項向董事會、股東會（包含股東大會、股東會，以下統稱股東會）提出議案之前，或在行使董事會、股東會等事項的表決權之前，各方應先對相關議案或表決事項進行充分協商，並達成一致意見後按一致意見行動。如果經各方正式協商兩次後仍不能達成一致意見，各方應以朱江先生的意見爲準。劉進先生、陳偉先生、吳志雄先生於2024年1月5日簽署的《一致行動補充協議（四）》自上述《一致行動協議》生效之日起終止。
