綠科科技國際(00195.HK)：Metals X轉提部分要約 擬溢價25%收購28%股權
格隆匯6月4日丨綠科科技國際(00195.HK)發佈公告，2024年10月23日，要約人(即Metals X Limited，於澳洲註冊成立的有限公司)向受要約人(即本公司)發出意向書，表明其擬提出潛在要約的意向，潛在要約須待需要受要約人提供／確認若幹資料的先決條件獲達成後，方告作實。然而，儘管要約人已多次提醒，受要約人仍未有處理要約人根據潛在要約的先決條件提出的要求，令要約人難以進行意向書所載的潛在要約事項。
鑑於上文所述，要約人決定進行部分收購要約(而非全面要約)。於2025年6月3日，要約人通知受要約人，彼有確實意向提出部分收購要約(遵照收購守則)，以要約價每股要約股份0.35港元收購要約人及其一致行動人士尚未擁有的不超過約3.82億股要約股份(佔受要約人於本公告日期已發行股本28.00%)。部分收購要約須待先決條件獲達成後，方可作出。要約價每股要約股份0.35港元較股份於2024年8月30日(即最後交易日)在聯交所所報收市價每股0.28港元溢價25.00%。
於本公告日期，要約人並未持有任何股份，其一致行動人士擁有80.4萬股股份(佔本公告日期受要約人已發行股本約0.06%)。由於部分收購要約不會致使要約人持有受要約人中附帶30%或以上投票權的股份，故將不會就尚未行使的購股權向相關購股權持有人提出同等基礎的要約。
按要約價每股要約股份0.35港元計算，並假設合資格股東已就全部約3.82億股要約股份悉數提呈有效接納部分收購要約，要約人根據部分收購要約向合資格股東購買約3.82億股要約股份須支付的現金代價總額爲約1.34億港元。要約人將利用其內部資源撥付部分收購要約項下的應付代價。禹銘就部分收購要約已獲委任爲要約人的財務顧問，並信納要約人具備充足的財務資源支付要約人於部分收購要約悉數獲接納後的最高應付代價。
假設僅有公衆股東(即董事以外的合資格股東)全數接納部分收購要約下的要約股份數目；及由本公告日期起直至交割日，受要約人的已發行股本並無變動，受要約人的公衆持股量將由約45.29%減少至17.29%。要約人董事及將獲委任的受要約人新董事(如有)將共同及個別向聯交所承諾會採取適當步驟，以確保股份有足夠的公衆持股量。
