OSL集團(00863.HK)擬收購Evergreen Crest 90%股份 加速東南亞市場佈局
格隆匯6月2日丨OSL集團(00863.HK)發佈公告，2025年5月30日，買方(OSL Midaspay Limited，爲公司全資附屬公司)與賣方(即Lau Shu Ming女士)訂立購股協議，據此，賣方有條件同意向買方出售，而買方有條件同意自賣方購買出售股份(目標公司的4.5萬股股份，佔目標公司已發行股份總數的90%)，代價合共爲1500萬美元(相當於約1.17億港元)，透過配發併發行代價股份支付。
代價股份約佔於本公告日期公司已發行股份總數的1.48%；及經配發及發行代價股份擴大的公司已發行股份總數的1.46%(假設公司已發行股本並無其他變動)。目標公司將於完成後成爲公司的間接附屬公司。因此，目標集團的財務業績將綜合計入公司的財務報表內。每股代價股份的發行價爲12.68港元，較於購股協議日期股份於聯交所所報收市價每股12.24港元溢價約3.59%。
目標公司(即Evergreen Crest Holdings Ltd.)爲於2023年11月8日根據英屬處女羣島法律註冊成立的有限公司，由賣方及少數股東分別直接擁有90%及10%。目標公司直接持有附屬公司1(即PT Langit Indonesia Berjangka)已發行股份的95%及附屬公司2(即PT Multikripto Exchange Indonesia)已發行股份的99%。目標公司正在(透過該等附屬公司)建立數字資產交易所的營運。附屬公司1持有有關印尼期貨經紀商牌照。附屬公司2持有有關印尼加密貨幣交易商牌照。
集團主要於亞太地區從事數字資產及區塊鏈平臺業務。誠如公司2024年年報所披露，集團近期於歐洲及日本進行收購後，集團致力於透過尋求具增值的併購機會加速其國際擴張計劃，並透過(其中包括)在東南亞等主要市場進行策略收購以保持其擴張勢頭。董事會認爲收購事項將爲集團帶來重大戰略效益。收購事項預期將爲公司進入印尼數字資產市場提供即時及戰略性通道，公司認爲該市場是亞洲最具潛力的加密貨幣市場之一。印尼具備推動該行業增長的關鍵特質，包括龐大年輕人口、穩健經濟增長基礎以及快速攀升的加密貨幣採用率。根據印尼有關加密貨幣與Web3行業的行業協會報告等公開可得資料，印尼加密貨幣行業呈現顯著擴張態勢。收購事項使集團得以戰略性佈局印尼充滿活力、多元且高速增長的Web3生態系統。
