菲林格爾(603226.SH)：實際控制人擬變更爲安吉以清的實際控制人金亞偉 股票復牌
格隆匯6月3日丨菲林格爾(603226.SH)公佈，實際控制人丁福如先生及其一致行動人新發展集團有限公司（簡稱“新發展集團”）、廣西巴馬儷全飲料有限公司（簡稱“巴馬儷全”）、上海多坤建築工程有限公司（簡稱“多坤建築”）、ASIAPACIFICGROUPINTERNATIONALLIMITED（簡稱“亞太集團”）與安吉以清科技合夥企業（有限合夥）（簡稱“安吉以清”）及其實際控制人金亞偉先生簽署了《股份轉讓協議》。由實際控制人丁福如先生及其一致行動人新發展集團、巴馬儷全、多坤建築、亞太集團分別以7.88元/股的價格，合計向安吉以清及其實際控制人金亞偉先生協議轉讓88,872,943股股份（佔公司總股本的25%）及其各自對應的全部權益，其中，由新發展集團協議轉讓上市公司66,793,445股股份（佔公司總股本的18.79%）、巴馬儷全協議轉讓上市公司7,741,458股股份（佔公司總股本的2.18%）、多坤建築協議轉讓上市公司6,451,215股股份（佔公司總股本的1.81%）及亞太集團協議轉讓上市公司7,886,825股股份（佔公司總股本的2.22%）。同時，實際控制人丁福如先生及其一致行動人新發展集團承諾將按照協議約定，及時解除新發展集團質押的33,400,000股標的股份，並按照協議約定實施交割過戶。
公司5%以上股東菲林格爾控股有限公司（簡稱“菲林格爾控股”）與陝國投·樂盈267號單一資金信託（由陝西省國際信託股份有限公司代表，簡稱“陝國投·樂盈267號信託”；）、渤源達朗私募證券投資基金【基金編號：SX3435】（由上海交享越渤源資產管理中心(有限合夥)代表，簡稱“渤源達朗基金”；）及和融聯融典私募證券投資基金【基金編號：SB5469】（由和融聯(廣州)私募基金管理有限公司代表，簡稱“和融聯基金”；）分別簽署了《股份轉讓協議》。由菲林格爾控股以6.73元/股的價格，合計向陝國投·樂盈267號信託、渤源達朗基金、和融聯基金協議轉讓上市公司96,764,554股股份（佔公司總股本的27.22%）及其各自對應的全部權益，其中，向陝國投·樂盈267號信託協議轉讓上市公司49,760,000股股份（佔公司總股本的14.00%）、向渤源達朗基金協議轉讓上市公司29,204,554股股份（佔公司總股本的8.22%）及向和融聯基金協議轉讓上市公司17,800,000股股份（佔公司總股本的5.01%）。
上述協議轉讓完成後，安吉以清及其實際控制人金亞偉先生合計將擁有上市公司25%的股份及該等股份對應的表決權,實際控制人丁福如先生及其一致行動人新發展集團有限公司將合計擁有上市公司19.56%的股份對應的表決權，上市公司實際控制人將由丁福如先生變更爲安吉以清的實際控制人金亞偉先生。
公司股票將於2025年6月4日（星期三）開市起復牌。
