東軟睿新集團(09616.HK)擬戰略入股熙康雲舍 加速佈局“教醫養康旅”生態
格隆匯5月20日丨東軟睿新集團(09616.HK)發佈公告，2025年5月20日，買方(東軟睿新，爲公司的全資附屬公司)與賣方(熙康健康，爲獨立第三方)及目標公司訂立股份轉讓協議，據此，買方有條件同意購買而賣方有條件同意出售指定繳足資本，佔目標公司截至本公告日期繳足資本總額的約4.2255%，總對價爲人民幣3000萬元。
同日，買方與目標公司訂立出資協議，據此，買方已有條件同意以現金向目標公司出資人民幣4500萬元。此外，目標公司將把其資本儲備人民幣413.60萬元轉化爲註冊資本，新增註冊資本將全數分配予買方。
目標公司(即大連熙康雲舍康旅投資管理有限公司，“熙康雲舍”)爲一家於2016年12月8日根據中國法律註冊成立的公司。截至本公告日期，東軟控股、上海互象投資管理有限公司(“上海互象”)、北京用友科技有限公司(“北京用友”)、賣方及寧夏誠貝創業投資諮詢有限公司(“寧夏誠貝”)分別持有目標公司約55.9176%、約12.8994%、約12.8994%、約11.8339%及約6.4497%的權益。上海互象、北京用友及寧夏誠貝各自均爲獨立第三方。緊隨收購事項、出資及轉增資本儲備完成後，(i)東軟控股、上海互象、北京用友、買方、賣方及寧夏誠貝分別持有目標公司約52.5847%、約12.1305%、約12.1305%、約9.9341%、約7.1549%及約6.0653%的權益；及(ii)目標公司將不會成爲公司的附屬公司，且目標集團的財務業績將不會併入集團的財務報表。
公告表示，自2024年進行戰略轉型以來，集團已從單一的教育服務提供者轉變爲“教醫養康旅”五位一體融合生態的行業先行者。這一轉變標誌着集團邁向更廣泛及更多元化的業務佈局。目標集團主要從事酒店的經營及管理，擁有五間康養酒店，該等酒店已是集團老年教育業務中心靈康旅課程(Mind Tour Class)的重要合作基地，豐富了集團老年教育服務的課程，促進了老年教育業務的發展，形成了集團老年教育業務的特色之一。收購事項完成後，集團將進一步擴大其康養旅遊服務領域，並加深目標集團酒店與集團老年教育業務的合作與協同，促進雙方互惠共贏。
