慧博雲通(301316.SZ)：擬購買寶德計算67.91%股份 完善產業鏈佈局、5月20日起復牌
格隆匯5月19日丨慧博雲通(301316.SZ)公佈公司發行股份及支付現金購買資產並募集配套資金暨關聯交易預案，上市公司擬通過發行股份及支付現金的方式向樂山高新投等59名交易對方購買其合計持有的寶德計算67.91%股份，並擬向實際控制人餘浩及其控制的申暉控股、戰略投資者長江產業集團發行股份募集配套資金。
上市公司為一家國際化、專業化、創新型的綜合數智技術服務提供商，面向全球產業信息化升級與數字化轉型的需求，基於對各行業客户業務場景的理解，以軟件技術專業人才為載體，為國內和國際客户提供涵蓋諮詢、設計、開發、測試、運維等全週期的軟件信息技術服務。標的公司寶德計算是國內一流的信息技術基礎設施提供商，專注於提供先進的算力基礎設施產品和一體化解決方案，主營業務為信息技術核心設備的研發、生產、銷售，構建了從服務器、存儲到個人計算機等多元化的硬件產品矩陣。通過本次交易，上市公司將實現從軟件技術服務向軟硬一體化的延伸發展，拓寬業務版圖，完善產業鏈佈局，提升綜合競爭力。
