傑華特(688141.SH)及公司子公司傑瓦特擬收購天易合芯的股權
格隆匯5月20日丨傑華特(688141.SH)公佈，根據公司整體戰略發展規劃以及業務發展需要，公司及公司子公司傑瓦特擬收購天易合芯的股權，並將其納入公司的合併報表範圍，具體方式爲：1、公司擬直接受讓北京屹唐華創股權投資中心（有限合夥）等10家機構持有的合計29.74%的目標公司股權；2、公司子公司傑瓦特擬通過受讓目標公司股東南京太芯易格電子有限公司91.66%的股權，穿透持有目標公司10.6%的股權，並實際控制南京太芯易格電子有限公司持有的11.57%的目標公司股權和擬受讓目標公司股東南京同舟合芯科技中心（有限合夥）5.71%的財產份額，從而間接受讓目標公司合計11.15%的股東權益。南京太芯易格電子有限公司和南京同舟合芯科技中心（有限合夥）系目標公司實控人及員工持股平臺，未實際開展業務。
綜上，公司和公司全資子公司傑瓦特擬以合計人民幣3.1874億元直接和間接收購目標公司合計40.89%（含公司直接持股目標公司29.74%、傑瓦特通過南京太芯易格電子有限公司間接持股目標公司10.6%、傑瓦特通過南京同舟合芯科技中心（有限合夥）間接持股目標公司0.55%）的股東權益，並實際控制目標公司合計41.31%（含公司直接持股目標公司29.74%、傑瓦特通過南京太芯易格電子有限公司間接控制目標公司11.57%）的股權，此外，根據交易雙方協商的轉讓協議有關約定，公司及傑瓦特將向天易合芯董事會合計委派三名董事成員，佔其整體董事席位的五分之三，並有權委派財務負責人。另外，南京同舟合芯科技中心（有限合夥）、南京凱芯微科技發展科技中心（有限合夥）、上海芯驁科技發展中心（有限合夥）和天易合芯目前實控人鄒定鍇、李紀鵬，就目標公司的公司治理及日常經營事項與公司保持一致行動且以公司的意見爲準。因此，目標公司將被納入公司合併報表範圍。
目標公司是一家專注於高性能傳感器芯片和模擬芯片設計、研發和銷售的半導體公司。公司的主要產品爲光學健康檢測芯片、高精度電容傳感芯片和各類光學傳感芯片，廣泛應用於智能穿戴、手機平板等消費類產品。目標公司服務於衆多知名終端客戶，在光學傳感和高精度電容傳感領域積累了豐富的設計、生產、應用、算法的技術經驗，未來發展前景廣闊。
