龍資源(01712.HK)獲聯合集團折讓約2.62%提要約收購 擬5月20日復牌
格隆匯5月19日丨龍資源(01712.HK)公告，要約人Wah Cheong Development (B.V.I.) Limited(聯合集團間接全資附屬公司)宣佈，萬基證券將代表要約人，根據下述基準及遵循收購守則及公司法，提出收購所有要約股份的要約：
於本聯合公告日期，要約人及其一致行動人士持有51,441,727股龍資源股份(包括Allied Properties、長原、Dew及楊分別持有的46,877,727股龍資源股份、4,334,000股龍資源股份、220,000股龍資源股份及10,000股龍資源股份)，佔龍資源已發行股份總數約32.54%。於本聯合公告日期，除158,096,613股龍資源股份外，龍資源並無其他有關證券(定義見收購守則規則22註釋4)。
龍資源已向要約人確認，於要約的要約期內，其不會發行任何有關證券(定義見收購守則規則22註釋4)。根據公司法規定，要約範圍涵蓋AlliedProperties、長原、Dew及楊。然而，AlliedProperties已向要約人作出不可撤回承諾，承諾自不可撤回承諾日期起至要約的要約期結束期間，不會接納要約且不會出售其所持有的龍資源股份。因此，要約人根據要約可收購的最高龍資源股份數目爲111,218,886股要約股份。
按已發行158,096,613股龍資源股份及要約人根據要約可收購的最高要約股份數目爲111,218,886股要約股份計算，假設要約按要約價獲全數接納，要約所需現金總額將爲289,169,103.60港元。
要約人擬透過李授出的融資及聯合集團的現金資源爲要約及相關交易費用提供資金。禹銘已就要約獲委任爲要約人的財務顧問，並信納要約人具備足夠的財務資源以應付全面接納要約。
要約價2.60港元較於最後交易日在聯交所所報的每股龍資源股份收市價2.67港元折讓約2.62%。龍資源集團的生產能力及其於2024年的財務表現，龍資源於2025年3月13日發佈年度業績公告後，聯合集團董事會對龍資源集團的長遠前景及取得龍資源控制權的裨益充滿信心。聯合集團董事會認爲，要約(倘其成爲無條件)可促使要約人及其一致行動人士以合理價格取得龍資源控股權。聯合集團董事會認爲，鑑於要約的條款及條件較AlliedProperties提出的要約更爲優越，相信市場將較爲受落且要約成功機會更高。聯合集團董事會認爲，要約公平合理，且符合聯合集團及聯合集團股東的整體利益。
聯合集團、亞太資源及龍資源已向聯交所申請，自2025年5月20日上午九時正起恢復聯合集團、亞太資源及龍資源證券於聯交所買賣。
