濱海能源(000695.SZ)：擬購買滄州旭陽100%股權 將新增尼龍新材料業務、控股股東將變更爲旭陽集團，5月19日起復牌
格隆匯5月16日丨濱海能源(000695.SZ)公佈發行股份購買資產並募集配套資金暨關聯交易預案，濱海能源擬向旭陽集團、旭陽煤化工、深創投新材料基金、農銀資產發行股份購買其合計持有的滄州旭陽100.00%股權；同時，濱海能源擬向不超過35名符合條件的特定投資者非公開發行股份募集配套資金。
本次發行股份購買資產交易對方爲旭陽集團、旭陽煤化工、深創投新材料基金及農銀資產，其中，旭陽集團、旭陽煤化工與上市公司均爲楊雪崗控制的企業，本次交易完成後，預計旭陽集團將成爲上市公司控股股東。根據《上市規則》等相關規定，本次交易構成關聯交易。
本次交易前，上市公司主營業務爲鋰電池負極材料的研發、生產和銷售。近年來，上市公司積極進行業務拓展，負極材料產能逐步釋放，公司業務規模持續提升，產品系列持續豐富，營業收入不斷增加，但與此同時，因鋰電產業競爭加劇，上市公司盈利水平持續承壓。
本次交易標的公司滄州旭陽是以尼龍新材料生產爲主的國家高新技術企業，產品主要涵蓋己內酰胺、尼龍6、尼龍彈性體等。根據弗若斯特沙利文2024年度數據統計，標的公司是全球第二大己內酰胺企業。滄州旭陽擁有從制氫、雙氧水、環己酮到製備己內酰胺、己二胺再到尼龍6、尼龍彈性體等在內的一體化產業鏈，是國內少數擁有全工藝流程的企業，盈利能力良好，技術創新優勢突出。
本次交易是實際控制人將旗下優質化工新材料業務注入上市公司的重要整合舉措。交易完成後，上市公司將新增包括己內酰胺、尼龍6、尼龍彈性體等產品在內的尼龍新材料業務，形成“負極材料+尼龍新材料”雙主業並行發展的業務格局，有利於公司拓展業務版圖，打造第二增長曲線，提升上市公司的資產規模、營業收入和淨利潤水平，增強公司抗風險能力和核心競爭力，提高上市公司可持續發展能力，可有效維護中小股東利益，促進上市公司高質量發展。
本次交易前，上市公司的控股股東爲旭陽控股，實際控制人爲楊雪崗；本次交易完成後，公司的控股股東預計將由旭陽控股變更爲旭陽集團，實際控制人仍爲楊雪崗。
根據深圳證券交易所的相關規定，經公司申請，公司股票(證券簡稱：濱海能源，證券代碼：000695)將於2025年5月19日(星期一)開市起復牌。
