金融壹賬通(06638.HK)獲平安集團溢價約23.1%提私有化
格隆匯5月15日丨金融壹賬通(06638.HK)公告，於2025年5月15日，要約人(鉑煜有限公司)要求董事會就根據公司法第86條以協議安排方式將公司私有化向計劃股份(包括美國存託股相關計劃股份)持有人提出該建議，相關私有化惟須待先決條件達成及條件達成或獲豁免(如適用)後方可作實，而一經批準及實行，將涉及註銷計劃股份及(作爲代價)就每股計劃股份以現金向計劃股東支付註銷價，以及撤銷股份於聯交所及美國存託股於紐交所的上市地位。註銷價2.068港元較最後交易日於聯交所所報收市價每股股份1.680港元溢價約23.10%。
於該計劃生效後，所有計劃股份(包括美國存託股相關計劃股份)將被註銷，而計劃股份的任何股票其後將不再具有作爲所有權文件或所有權憑證的效力。公司將根據上市規則第6.15(2)條向聯交所申請撤銷股份於聯交所的上市地位。此外，美國存託股於紐交所的上市地位將依據交易法一般規則及法規第12d2-2條予以撤銷。於該計劃生效後，公司亦擬終止存託協議、終止根據交易法註冊股份，並暫停履行公司根據交易法承擔的申報責任。
倘該計劃並未生效或該建議因其他原因而失效，股份於聯交所及美國存託股於紐交所的上市地位將不會被撤銷。
要約人爲一家於英屬維爾京羣島註冊成立的有限公司，爲平安集團的間接全資附屬公司。要約人的主要活動爲投資控股。要約人爲公司的控股股東。
平安集團是一家於1988年3月21日根據中國法律成立的股份有限公司。平安集團及其附屬公司的業務涵蓋保險、銀行、投資、金融科技、醫療科技及其他領域。其於上海證券交易所(股份代號：601318)及聯交所(股份代號：2318(港幣櫃檯)及82318(人民幣櫃檯))上市。平安集團爲公司的控股股東。
作爲公司的主要股東，要約人亦致力於實現該等長遠目標，並認爲該等舉措涉及重大營運風險，最適宜以私人公司形式實施。執行有關措施亦需大量資金，而公司的交易流動性有限及估值偏低，對其籌集新資本的能力造成不利影響。一旦公司成爲全資附屬公司，要約人計劃注入額外財務資源，並進一步將公司與更廣泛的平安集團生態系統進行整合。
